Cafike Pty Ltd., trading as Port Arthur Cider Company, brought a claim against R.R. and S.M. Powell Pty Ltd. for the price of goods sold and delivered in January and February 1987, damages for breach of contract, passing off, and other claims. R.R. and S.M. Powell Pty Ltd. cross-claimed for damages for breach of the Koonya agreement, debt for accounting services rendered, and other claims. The Court found that the parties agreed on an initial five-year term for the Koonya agreement and that prices could only be varied with the consent of the other party. The Court also found that Grove passed off Cafike's product in February and March 1987 and awarded Cafike damages in the sum of $400.00. Cafike's other claims for damages for breach of contract and for breach of fiduciary duties under an alleged joint venture arrangement were rejected. Grove's claim for debt for accounting services rendered was upheld in the sum of $1,081.12 together with interest in the sum of $239.65. Grove's other cross-claims were not pressed. The Court ordered that judgment be entered for the applicant on its claim in the sum of $54,965.57 and that judgment be entered for the respondent on its cross-claim in the sum of $1,320.77, with the one judgment set off against the other and execution to issue for the balance of $53,644.80. The respondent was also ordered to pay three-quarters of the applicant's costs of the proceedings.
