T h e p l e a o f g u i l t y c a r r i e s w i t h i t a n a d m i s s i o n o f
e v e r y e l e m e n t o f t h e c h a r g e . A c c o r d i n g l y i t is a d m l t t e d t h a t
t h e i n v i t a t i o n was t o p e r s o n s t o p a r t i c i p a t e i n a b u s l n e s s a n d
c o n t a i n e d a s t a t e m e n t t h a t t h e i n c o m e t h e m , t o t h e y i f
p a r t i c i p a t e d , was e s t i m a t e d b e t o $ 3 0 0 per week.
N o t w i t h s t a n d i n g t h e c a u t i o u s e x p r e s s i o n t h a t t h e p o t e n t i a l
e a r n i n g s were e s t i m a t e d a t a round $300 p e r week, t h e r e c a n b e

On t h e e v i d e n c e i t is c l e a r t h a t s u c h a s t a t e m e n t was
q u i t e f a l s e . The company could a t n o s t a g e b e s a i d t o b e a n
e s t a b l i s h e d b u s i n e s s a n d a d v e r t i s i n g t o i n d u c e p e r s o n s t o
d e p o s i t t h e i r e x p o s e d f i l m s w l t h t h e c o m p a n y ' s d e p o t s was
q u i t e i n s u f f i c i e n t t o p r o d u c e t h e i n t a k e r e q u l r e d . T e l e v i s i o n
a n d r a d i o a d v e r t i s e m e n t s w e r e n o t u n d e r t a k e n . The e x p e r i e n c e
of f r a n c h i s e e s f r o m t h e commencement was o n e o f c o m p l e t e
f r u s t r a t i o n , d i s s a p o i n t m e n t a n d d i s i l l u s i o n m e n t . The e v i d e n c e
s h o w s t h a t o f t h e m o r e t h a n s e v e n t y f r a n c h i s e r s t h e most
successful of a l l , one J ames , ea rned l ess t h a n $ 6 0 i n e v e r y

f o r t h e g r e a t e r p a r t o f f i v e d a y s a week c a l l i n g a t d e p o t s .
They t r a v e l l e d d a i l y f o r q u i t e l o n g d i s t a n c e s u p t o a b o u t 2 0 0
miles o n f i v e d a y s e a c h week t o pick u p a t r i v i a l number of
films, l o s i n g money e v e r y d a y . T h e y d l d t h i s b e c a u s e i n m o s t
f r a n c h i s e c o n t r a c t s t h e r e was an agreement by the company to
buy back " t h e d e l i v e r y r u n " a f t e r s i x m o n t h s i f t h e f r a n c h i s e
had f a i t h f u l l y f u l f i l l e d t h e terms o f t h e c o n t r a c t . S e v e r a l
of t h e f r a n c h i s e e s c o n c e r n e d i n t h e s e p r o s e c u t i o n s s o u g h t t o
b e b o u g h t o u t , b u t w i t h o u t success a n d I n t h e c l o s i n g m o n t h s
o f 1 9 7 9 t h e company had no premises , no te lephone and was
n o t t o b e f o u n d .
Of t h e f r a n c h i s e e s b e f o r e t h e C o u r t t h e s e i n
p r o s e c u t i o n s t h e r e was p a i d by them f o r t h e l r d e l i v e r y r u n
sums as f o l l o w s : -

There was a p r o v i s i o n i n m o s t c o n t r a c t s t h a t a payment of $100
or $150 p e r week wou ld be pa id t o t h e f r a n c h i s e e f o r t e n weeks
t o c o v e r t h e lesser r e t u r n s t h a t m i g h t b e e x p e c t e d i n t h e
e a r l y s tages . There was much d e f a u l t i-1 c o m p l y i n g w i t h t h e
o b l i g a t i o n t o make these paymen t s .
The company and t h e d e f e n d a n t S t a c e y p l e a d e d g u l l t y ,
b u t n e i t h e r h a s made a n y e x p l a n a t i o n t o t h e C o u r t c o n c e r n l n g
the commiss ion of these o f f ences and i ndeed no appea rance was

made on a p p e a r a n c e

From t h e e i g h t p e r s o n s t o whom t h e s e p r o c e e d i n g s r e l a t e , t h e
company r e c e i v e d $ 5 3 , 5 0 0 . I t is c l e a r t h a t t h e f r a n c h l s e s
were n o t o n l y v a l u e l e s s b u t i n v o l v e d t h e f r a n c h i s e e s l n months
of work a n d s u b s t a n t i a l t r a v e l l i n g e x p e n s e s . From t h e
accoun t s o f t he company it is c l e a r t h a t f o r f o u r m o n t h s
e n d i n g J u n e 1979 i t s gross p r o f i t o n d e v e l o p i n g a n d p r o c e s s i n g
f i l m was $162. Its o v e r h e a d e x p e n s e s were $99,219. I ts o n l y
rea l income was from the s a l e o f f r anch i ses wh ich showed a
p r o f i t o f $ 1 7 9 , 5 9 3 . 0 0 a f t e r t h e c o s t o f c o m m i s s i o n s t o
salesmen and r epurchases . The g r o s s p r o c e e d s f r o m t h e s a l e o f
f r a n c h i s e s was $284,000.00. A t a p p r o x i m a t e l y $ 7 , 5 0 0 e a c h t h i s
r e p r e s e n t e d t h e sale o f t h i r t y f r a n c h i s e s .
One w o u l d t h i n k t h a t h a d g r e a t v i g o u r Seen shown i n

d e f e n d a n t s d o n o t s u g g e s t t h a t t h e a d v e r t i s e d estimate was a
v a l i d o n e . T h e y c o n c e d e t h e f a l s i t y o f t h e p u b l l s h e d e s t l m a t e
a n d e x p l a i n n o t h i n g . I n a d d i t i o n t o t h e i n t a k e o f f i l m s a t
d e p o t s b e i n g so small t h e company f a i l e d t o g i v e t h e swift
s e r v i c e w h i c h was v i t a l t o t h e s u c c e s s o f t h e v e n t u r e .
R e t u r n s o f f i l m s t o f r a n c h i s e e s w e r e v e r y s l o w a n d s o m e t i m e s
d e l a y e d f o r weeks.
The o n l y rea l i n c o m e o f t h i s c o m p a n y w a s f r o m s a l e s o f
f r a n c h i s e s . T h i s w a s r e v e a l e d i n t h e f i r s t four months
t r a d i n g b u t i t d i d n o t d e t e r t h e d e f e n d a n t s f r o m s e l l i n g
f u r t h e r f r a n c h i s e s I n c l u d i n g t h o s e s o l d t o t h e p e r s o n s
men t ioned above . The conc lus ion t o which one i s f o r c e d is
t h a t a t t h a t s t a g e t h e company was a f l o a t o n l y upon t h e s a l e

o f t h e f r a n c h i s e s , t h a t t h e r e r e a l l y was n o b u s i n e s s t o
p r o v i d e r e t u r n s t o f r a n c h i s e e s I n e x c e s s o f t h e l r e x p e n d i t u r e ,
a n d n o e x p e c t a t i o n t h a t t h i s s i t u a t i o n w o u l d c h a n g e . I t i s
s u c h a s c e n a r i o w h i c h e m e r g e s f r o m t h e e v i d e n c e c o n s i d e r e d i n
