Swiss Reinsurance Company Ltd applied to the Federal Court for dispensation from a statutory requirement under section 17C of the Insurance Act 1973 (Cth) to distribute an approved summary of a proposed scheme of arrangement for the demutualisation and reconstruction of the Australian Reinsurance Pool Corporation (ARPC). The application was brought pursuant to section 17D of the Insurance Act. The Australian Prudential Regulation Authority intervened in the proceedings in support of the application. The primary legal issue before the Court was whether the applicant should be dispensed from the requirement to distribute the approved summary of the scheme as mandated by section 17C(2)(c) of the Insurance Act. The Court found that the applicant had taken steps to ensure that the policyholders and brokers would be appropriately informed of the scheme and that the requirement for distribution of the approved summary of the scheme was effectively met by the applicant's proposed alternative measures. The Court was satisfied that the applicant had provided appropriate access to the scheme documentation and was able to demonstrate that the alternative measures were sufficient to achieve the purposes of section 17C of the Insurance Act. Accordingly, the Court granted the application and made orders dispensing with the requirement to distribute the approved summary of the scheme, on the condition that the applicant complied with a range of alternative measures. The Court also ordered that the legal costs of APRA be paid by the applicant.
