GTW Investments (Aust) Pty Ltd v Pacreef Investments Pty Ltd

GTW Investments (Aust) Pty Ltd appealed against a decision of the Federal Court, which had dismissed its claim against Pacreef Investments Pty Ltd for a payment of $5 million under a Guarantee Arrangement. The Full Court of the Federal Court found that the conditions precedent required more than mere contemplation or preparation for a capital raising, and that GTW had not satisfied these conditions. The Court also held that GTW's shares were not redeemable preference shares within the meaning of the Corporations Act because they were not redeemable. Regarding the definition of "Insolvency Event", the Court held that it involved a cash flow test akin to the test under the Corporations Act.

The appeal was allowed, and the decision of the Federal Court was set aside. The matter was remitted to the Federal Court for further consideration in light of the findings of the Full Court.
