QNI Resources Pty Ltd v Queensland Nickel Pty Ltd (in liq)

QNI Resources Pty Ltd and QNI Resources (Qld) Pty Ltd (jointly, the appellants) sought leave to bring legal and equitable claims against Queensland Nickel Pty Ltd (in liquidation) (the respondent) under section 500(2) of the Corporations Act 2001 (Cth). The appellants were joint venturers and the current managers of the joint venture, while the respondent was the former manager of the joint venture and a company in liquidation. The claims relied on an unconditioned obligation under the Joint Venture Agreement to return joint venture property. The appellants argued the learned primary judge erred in his approach and failed to assess whether they had a reasonable prospect of proving the negations in the absence of any pleadings of relevant factual matters. The appellants further argued the learned primary judge erred in exercising his discretion under section 500(2) of the Corporations Act 2001 (Cth). The Court found the primary judge was correct to conclude that the appellants had not established a solid foundation for the pleaded negations and was correct to refuse leave to proceed. The Court found the learned primary judge did not err in exercising his discretion under section 500(2) of the Corporations Act 2001 (Cth). The appeal was dismissed and the appellants were ordered to pay the respondent's costs of the appeal on the standard basis.
