The Court found the primary judge was correct to conclude that the appellants had not established a solid foundation for the pleaded negations and was correct to refuse leave to proceed. The Court found the learned primary judge did not err in exercising his discretion under section 500(2) of the Corporations Act 2001 (Cth). The appeal was dismissed and the appellants were ordered to pay the respondent's costs of the appeal on the standard basis.
