The court concluded that Mr Ryan’s reliance on the legal advice justified his view that executing the deed of acknowledgment of debt was appropriate and in the best interests of the company. Consequently, ASIC had not proven that Mr Ryan contravened the statutory duties in question.

In light of the findings, the court dismissed the proceeding against Mr Ryan and ordered that the plaintiff, ASIC, pay the defendant’s costs of the proceeding. This decision underscores the importance of a director's reliance on legal advice and the need for clear and precise statements in complex cases to avoid unnecessary complications and ensure a fair trial.
