JUDGMENT OF MILLER J

[1]      Fonterra  seeks  leave  to  appeal  from  my  judgment  of  3  March.     The respondents consent.

[2]      I accept that the processor decision merits a second appeal.

[3]      With respect to the breach decision, Fonterra points to no significant question of law.  But I am told that the compensation likely to be payable is in the order of

$1m.  The issue is accordingly of sufficient private significance to justify a second

appeal.
