The Parliament of Victoria enacts:
1Purposes
The purposes of this Act are—
(a)to repeal a number of redundant Acts relating to companies and related matters; and
(b)to make a consequential amendment to the Corporations (Ancillary Provisions) Act 2001.
2Commencement
This Act comes into operation on the day after the day that it receives the Royal Assent.
3Repeal of Acts
The Acts listed in Schedule 1 are repealed.
4Amendment of Corporations (Ancillary Provisions) Act 2001
The Corporations (Ancillary Provisions) Act 2001 is amended as set out in Schedule 2.
5Repeal of repealing Act
This Act is repealed on the first anniversary of the day on which it receives the Royal Assent.
Note
The repeal of this Act does not affect the repeals and amendment made by it (see section 15(1) of the Interpretation of Legislation Act 1984).

Amendment of Corporations (Ancillary Provisions) Act 2001
After section 25 of the Corporations (Ancillary Provisions) Act 2001 insert—
"26 Additional regulation making powers
(1)Without limiting section 25, the Governor in Council may make regulations for or with respect to matters of a transitional nature relating to the repeal of the Acts listed in Schedule 1 to the Legislation Reform (Repeals No. 5) Act 2010.
(2)Any provision of the regulations made under this section may be expressed to take effect from a time that is earlier than the beginning of the day on which the regulations containing the provision are made, not being a time earlier than immediately before the day on which the Legislation Reform (Repeals No. 5) Act 2010 receives the Royal Assent.
(3)To the extent to which a provision of the regulations made under this section takes effect from a time that is earlier than the beginning of the day on which the regulations containing the provision are made, the provision does not operate so as—
(a)to affect in a manner prejudicial to any person (other than the Crown or an authority of the Crown), the rights of that person existing before the date of making of those regulations; or
(b)to impose liabilities on any person (other than the Crown or an authority of the Crown) in respect of anything done or omitted to be done before the date of making of those regulations.
(4)In this section, matters of a transitional nature includes matters of an application or savings nature.".
