CaseChat Overview and Summary

The case of Surfers Paradise Investments Pty Ltd v United Investments Pty Ltd, Eilazak Pty Ltd involved several defendants in relation to land transactions and alleged breaches of fiduciary duty. The plaintiff, Surfers Paradise Investments, claimed that it had purchased a share in Eilazak Pty Ltd, and that certain defendants had acted in breach of fiduciary duty by interfering with the plaintiff's rights in relation to the land. The defendants sought to have the plaintiff's statements of claim struck out or stayed, and the plaintiff's caveat removed. The court held that the plaintiff's claims were not maintainable on their face, and that there was no caveatable interest on the facts pleaded. However, the court held that the plaintiff had established serious questions to be tried, and that the balance of convenience favoured granting the interlocutory injunction sought and refusing to remove the plaintiff's caveat until trial. The court ordered that the interlocutory injunction be granted and the caveat be refused removal, on the condition that the plaintiff's director provided a personal guarantee to cover any damages that might be recovered by the defendants. The court also ordered that the various applications to strike out, set aside or stay the plaintiff's statements of claim be dismissed, and that certain defendants be struck out from the proceedings.

The legal issues in this case related to the nature and scope of the plaintiff's equitable interests in the land, and the availability of equitable remedies such as injunctions and caveats. The court considered authorities on the construction of constructive trusts, and held that the right to obtain relief as a beneficiary of a constructive trust gave the beneficiary a caveatable interest in the land. The court also considered the discretion of the directors of Eilazak Pty Ltd to decline to register any share transfer from Jacques-Ludlow to the plaintiff, and held that it was inappropriate to canvass and argue this issue in a preliminary way at that stage. The court held that there were serious issues to be determined as to whether the plaintiff had an equitable interest as beneficiary under a constructive trust upon which the relevant land was held by the defendants, and as to the availability of an equitable remedy to permit the plaintiff to become registered as the holder of the share it alleged it had purchased from Jacques-Ludlow. The court granted the interlocutory injunction and refused to remove the caveat on the condition that the plaintiff's director provided a personal guarantee to cover any damages that might be recovered by the defendants.

The final orders made by the court included dismissing the various applications made by the first and second defendants to strike out, set aside or stay the plaintiff's statements of claim, and refusing the defendants' application to remove Caveat Dealing No. 701968985 on condition that the plaintiff's director gave a personal guarantee to the satisfaction of the Registrar to the extent of $350,000 for the plaintiff's liability for damages in respect of the unjustified lodgment and maintenance of that caveat by the plaintiff. The court granted an injunction restraining the defendants from in any way dealing with the land pending the trial of these actions, subject to the usual undertaking as to damages given by the plaintiff secured by the personal guarantee. The court also struck out certain defendants from the proceedings, and made orders for directions concerning the further conduct of the case. The court reserved the question of costs in respect of all applications made and argued before it.
