196 (l@ueens(art3 ANNO SEXTO DECIMO ELIZABETHAE SECUNDAE REGINAE No. 31 of 1967 An Act to Amend "The Religious Educational and Charitable Institutions Act of 1861," in certain particulars [ASSENTED TO 15TH NOVEMBER, 1967] BE IT ENACTED by the Queen's Most Excellent Majesty, by and with the advice and consent of the Legislative Assembly of Queensland in Parliament assembled, and by the authority of the same, as follows:- 1. (1) Short title. This Act may be cited as " The Religious Educational and Charitable Institutions Acts Amendment Act of 1967." (2) Principal Act. " The Religious Educational and Charitable Institutions Acts, 1861 to 1959," are in this Act referred to as the Principal Act. (3) Collective title. The Principal Act and this Act may be collectively cited as The Religious Educational and Charitable Institutions Acts, 1861 to 1967." 2. New ss. 4A and 4B inserted in 25 Vic. No. 19. " The Religious Educational and Charitable Institutions Act of 1861 " as previously amended is further amended by inserting after section four the following sections:-- [ 4A.] Power to exempt from compliance with The Companies Acts. The Governor in Council may, by Order in Council published in the Gazette, exempt any corporation constituted under this Act, subject to such terms and conditions as are specified in the Order in Council, from complying with all or any of the provisions of " The Companies Acts, 1961 to 1964 " as are applicable to the corporation.

Unless expressly excluded or modified by the constitution of the corporation, the powers of a corporation constituted under this Act include, and shall be deemed always to have included, the powers set forth in the Schedule to this Act, but nothing in this section shall be taken- (a) to authorize or empower or to have authorized or empowered the corporation to deal with any property contrary to the provisions of any gift, grant or dedication of the original donor of the property or of any special trusts affecting property received, purchased or otherwise acquired by the corporation; or (b) to limit in any respect the nature or extent of the powers conferred by section one of this Act." 3. Insertion of Schedule . " The Religious Educational and Charitable Institutions Act of 1861 " as previously amended is further amended by adding at the end thereof the following Schedule:- "SCHEDULE POWERS 1. To take, or otherwise acquire, and hold shares, debentures or other securities of any company or body corporate. 2. To establish and support or aid in the establishment and support of associations, institutions, funds, trusts and conveniences calculated to benefit employees or past employees of the corporation, or the dependants or connections of any such persons; and to grant pensions and allowances; and to make payments towards insurance: and to subscribe or guarantee money for charitable or benevolent objects, or for any exhibition, or for any public, general, or useful object. 3. To take on lease or in exchange, hire, and otherwise acquire any real and personal property of any kind whatsoever and any rights or privileges which the corporation may think necessary or convenient for the furtherance of its objects. 4. To invest and deal with the money of the corporation not immediately required in such manner as may from time to time be thought fit. 5. In furtherance of its objects to lend and advance money or give credit to any person or body corporate; to guarantee and give guarantees or indemnities for the payment of money or the performance of contracts or obligations by any person or body corporate; to secure or undertake in any way the repayment of moneys lent or advanced to or the liabilities incurred by any person or body corporate, and otherwise to assist any person or body corporate. 6. To borrow or raise money either alone or jointly with any other person or legal entity in such manner as may be thought proper and whether upon fluctuating advance account or overdraft or otherwise and to represent or secure any moneys and further advances borrowed or to be borrowed alone or with others as aforesaid by notes (secured or unsecured), debentures or debenture stock (perpetual or otherwise), or by mortgage, charge, lien or other security upon the whole or any part of the corporation's property or assets present or future and to purchase, redeem or pay-off any such securities.

To remunerate any person or body corporate for services rendered, or to be rendered and whether by way of brokerage or otherwise in placing or assisting to place or guaranteeing the placing of any unsecured notes, debentures or other securities of the corporation, or in or about the organisation or promotion of the corporation or in the furtherance of its objects. 8. To draw, make, accept, endorse, discount, execute and issue promissory notes, bills of exchange, bills of lading, and other negotiable or transferable instruments. 9. To take or hold mortgages, liens and charges, to secure payment of the purchase price, or any unpaid balance of the purchase price, of any part of the corporation's property of whatsoever kind sold by the corporation, or any money due to the corporation from purchasers and others. 10. To do all such other things as are incidental or conducive to the attainment of the objects and the exercise of the powers of the corporation."
