100 ANNO UNDECIMO ELIZABETHAE SECUNDAE REGINAE •••••••••••••••••••••••••••••••••••••••••••••••••••• No. 13 of 1962 An Act to Amend "The Primary Producers' Co-operadve Associations Acts, 1923 to 1934," in certain particulars [ASSENTED TO 26TH NOVEMBER, 1962] BE IT ENACTED by the Queen's Most Excellent Majesty, by and with the advice and consent of the Legislative Assembly of Queensland in Parliament assembled, and by the authority of the same, as follows:- !. (1) Sl1ort title. This Act may be cited as "The Primary Producers' Co-operative Associations Acts Amendment Act of 1962." (2) Principal Act. " The Primary Producers' Co-operative Associations Acts, 1923 to 1934," are in this Act referred to as the Principal Act. (3) Collective title. The Principal Act and this Act may be collectively cited as " The Primary Producers' Co-operative Associations Acts, 1923 to 1962." 2. Ameoclmeat ofs. 15. Section fifteen of the Principal Act is amended by adding the following subsection : - "(11) An association may by its rules prohibit its directors from selling or otherwise disposing of or its members by resolution, whether an ordinary or a special resolution, from authorising, justifying or excusing the sale or disposal otherwise of (except, in the case of either the directors or members, in respect of amalgamation with another
Primary Producers' Co-operative, Etc., Amendment Act of 1962, No. 13 association) its business or any part, of or exceeding in value an amount specified in the rules, of its business or any of its assets of or exceeding in value an amount specified in the rules (but not including any primary produce or other thing ordinarily sold or otherwise disposed of by the association in the course of its business) unless and until its members have by postal ballot approved of such sale or disposal. The rules may provide for, regulate and control the holding of such a postal ballot, and may require the approval of the members to be given by a specified majority, greater than a simple majority, of the members voting, or by not less than a specified number of votes, but unless the rules otherwise require the decision shall be by simple majority of the members voting." 3. Amendment of s. 16. Section sixteen of the Principal Act is amended by adding to the first paragraph the words 0 by, subject to the power of the association to make rules, adding thereto any fresh rule or revoking, amending. altering or otherwise modifying any subsisting rule". 101
