PARTNERSHIP ACT 1892—REGULATION

(Partnership Regulation 1992)

HIS Excellency the Governor, with the advice of the Executive Council, and in pursuance of the Partnership Act 1892, and on the certification of the Attorney General under section 64 (4) of that Act, has been pleased to make the Regulation set forth hereunder.

Citation

1. This Regulation may be cited as the Partnership Regulation 1992.

Commencement

2. This Regulation commences on 1st May, 1992.

Definition

3. In this Regulation:

“the Act” means the Partnership Act 1892.

Application for registration of limited partnership

4. A statement made for the purpose of applying for the registration of

a limited partnership under section 54 of the Act must contain the following particulars in addition to the other particulars required by that section:

(a) the date and place of birth of each proposed partner;

(b) any conditions relating to the cessation of the partnership.

Fees

5. The fees payable in respect of the services set out in Schedule 1 are

as set out in that Schedule.

Registered office of limited partnership
6. The registered office of a limited partnership is to be open and

accessible to the public between 9 am and 5 pm on each business day.

Declaration of limited partnership corresponding laws

7. The laws relating to limited partnerships in force in the following jurisdictions of the United States of America are declared to be corresponding laws for the purposes of Part 3 of the Act:

EXPLANATORY NOTE

The objects of this Regulation are:

• to require applications for registration of limited partnerships to contain

certain additional particulars

• to prescribe fees in connection with the registration of limited partnerships and for the supply of certificates of information recorded in the Register of Limited Partnerships

• to require the registered office of a limited partnership to be open and

accessible to the public during normal business hours

• to prescribe laws relating to limited partnerships in force in certain States of the United States of America as corresponding laws for the purposes of the limited partnership provisions of the Partnership Act 1892.
