By-laws under the Charles Darwin University Act

1Citation

These By-laws may be cited as the Northern Territory University (Training and Further Education Board) By-laws.

2Definitions
  • (1)

    In these By-laws:

    Board means the Training and Further Education Board of the University for which provision is made by section 24A of the Act.

    elected member means, in relation to the Board, a member elected under by-law 3(g) or (h).

  • (2)

    A reference in these By-laws to the Vice-Chancellor, the Deputy Vice-Chancellor, a Pro Vice-Chancellor, the Registrar, a Dean, the Chief Librarian or the Chair of the Training and Further Education Board includes a reference to a person for the time being acting in or performing the duties of the office in question.

3Membership of the Board

The Board shall consist of:

  • (a)

    the Vice-Chancellor;

  • (b)

    the Deputy Vice-Chancellor;

  • (c)

    each Pro Vice-Chancellor;

  • (d)

    the Deans of Faculties (or nominees);

  • (e)

    the Chief Librarian (or nominee);

  • (f)

    the President of the Northern Territory University Students’ Union;

  • (g)

    12 members elected by and from the academic staff of the University, provided that where only one staff member nominates from a Faculty, that staff members shall be deemed to be elected unopposed;

  • (h)

    one representative from the Education & Training Branch.

4Term of office, etc., of elected members
  • (1)

    Subject to clause (4), the term of office of an elected member of the Board is:

    • (a)

      in the case of a member elected by the academic staff of a faculty – a term of two years;

    • (b)

      and beginning on 1 January following the member’s election.

  • (2)

    The term of office for the student member is one year beginning on 1 January.

  • (3)

    An elected member vacates office as such if the member:

    • (a)

      becomes a member of the Board ex officio;

    • (b)

      is absent without the Board’s leave from three consecutive meetings of the Board of which reasonable notice has been given to the member either personally or by post;

    • (c)

      gives to the Registrar a written notice of resignation signed by the member; or

    • (d)

      ceases to be (as the case may require) a member of the academic staff of the University or a student of the University.

  • (3)

    A person who is or has been an elected member of the Board may be elected for a second or subsequent term.

  • (4)

    On the establishment of the University of any new faculty, the election to the Board of the staff members of the faculty required by by-law 3(g) shall take place as soon thereafter as is reasonably practicable; and the persons elected shall hold office for a term beginning with the declaration of their election and ending with the terms of office of the staff members of other faculties.

  • (5)

    The manner in which elections of members of the Board are to be conducted and their results determined shall be as the Registrar directs.

5Chair and Deputy Chair
  • (1)

    The Board shall, in such manner as the Registrar directs, elect one of its members to be Chair of the Board and another to be Deputy Chair.

  • (2)

    The Chair and Deputy Chair each hold office for a term of one year, but may at any time resign by notice in writing to the Registrar.

  • (3)

    The Chair and Deputy Chair are eligible for re-election at the expiry of their term of office, but the Chair may not hold office for more than three terms consecutively.

6Secretary

The Registrar shall be the Secretary of the Board, and present in that capacity at meetings of the Board, but may not vote on any matter there arising.

7Functions of the Board
  • (1)

    The Board may advise the Council or the Vice-Chancellor of any matter whatsoever relating to the University.

  • (2)

    Without limiting the generality of clause (1), the Board may make recommendations to the Council or the Vice-Chancellor, particularly in relation to training and further education, with respect to:

    • (a)

      any matter concerning the teaching activities of the University (including in particular the introduction of new subjects or courses, the rules relating to awards, and the procedures for examinations and assessments);

    • (b)

      academic support services;

    • (c)

      the conditions governing the award of fellowships, scholarships, prizes and similar awards;

    • (d)

      the conditions for entry to the University, or to particular courses;

    • (e)

      student discipline; and

    • (f)

      by-laws and rules.

  • (3)

    The Board shall report on any matter on which it is required to report by the Council or the Vice-Chancellor.

  • (4)

    The Board may receive from other bodies within the University submissions containing reports or recommendations requiring consideration by the Council, and, on receiving such a submission, shall either:

    • (a)

      transmit it to the Council unaltered, together with the Board’s comments and advice thereon; or

    • (b)

      refer it back for reconsideration by the body submitting it and, on its being resubmitted (with or without amendment), then comply with paragraph (a).

  • (5)

    The Board shall not exercise its functions with respect to any matter which is properly a matter for the Academic Board except at the request of or with the consent of that Board.

8Meetings
  • (1)

    The Chair of the Board or, if the Chair is for any reason unable to act, its Deputy Chair, shall call such meetings of the Board as are necessary for the performance of the Board’s functions, but so that the interval between one meeting and the next does not exceed four months.

  • (2)

    The Chair or, if the Chair is for any reason unable to act, the Deputy Chair, shall call a meeting of the Board within 14 days after being requested in writing to do so by not less than 50% of the members of the Board for the time being holding office.

  • (3)

    A meeting of the Board shall be presided over by the Chair or, in the Chair’s absence, by the Deputy Chair or, in the absence of both the Chair and the Deputy Chair, by a member elected for the purpose by the members there present.

  • (4)

    At a meeting of the Board:

    • (a)

      50% of the members of the Board for the time being holding office constitutes a quorum;

    • (b)

      questions arising shall be determined by a majority of the votes of the members present and voting and, in the event of an equality of votes, the person presiding shall be a casting vote; and

    • (c)

      subject to these By-laws, the Board shall determine the procedure to be followed at or in connection with the meeting.

    9Other committees

    The Board may establish such committees as it thinks fit, and may appoint as members of the committee persons who are not members of the Board.
