Investmentsource v Knox Street Apartments

The matter before the court was a dispute between Investmentsource and Knox Street Apartments concerning the distribution of net proceeds from a property development project. The parties had entered into a joint venture agreement, as well as associated agreements, to develop and manage the property. The central issue was the order and distribution of the net proceeds from the sale of the property, with each party presenting different interpretations of their contractual obligations.

The court was tasked with determining the intention of the parties as expressed in the joint venture agreement and associated agreements. Specifically, the court needed to resolve whether there was an inconsistency between the agreements and, if so, which provisions should prevail. The court also had to consider whether there had been a breach of the joint venture agreement and, if so, whether damages had been proven to have been caused as a result.

Upon examination of the agreements, the court found that there was indeed an inconsistency between them. The court held that the joint venture agreement was the primary document that governed the relationship between the parties, and that it should be interpreted in light of the associated agreements. The court found that the parties had not breached their obligations under the joint venture agreement and that Investmentsource had not proven that it had suffered any damages as a result of any alleged breach. The court therefore dismissed Investmentsource's claims in their entirety.

As a result of the court's decision, no orders were made in favour of Investmentsource and the dispute over the distribution of the net proceeds from the property development project was resolved in favour of Knox Street Apartments.
