Hospitals Foundations Amendment Regulation (No. 1) 2012 [s 1] 1 Short title This regulation may be cited as the Hospitals Foundations Amendment Regulation (No. 1) 2012 . 2 Regulation amended This regulation amends the Hospitals Foundations Regulation2005. 3 Insertion of new s 4 After section 3— insert — ‘4 Amalgamation of bodies corporate ‘(1) The bodies corporate known as the Children’s Health Foundation Queensland and The Royal Children’s Hospital Foundation are amalgamated. ‘(2) For subsection (1)— (a) the Children’s Health Foundation Queensland (the continuing body corporate ) continues; and (b) The Royal Children’s Hospital Foundation (the discontinued body corporate ) is subsumed into the continuing body corporate and is dissolved immediately after the subsumption. ‘(3) On the amalgamation— (a) the assets and liabilities of the discontinued body corporate immediately before the amalgamation become the assets and liabilities of the continuing body corporate; and (b) the rights and obligations of the discontinued body corporate immediately before the amalgamation become the rights and obligations of the continuing body corporate; and (c) a legal proceeding that may have been continued or started by or against the discontinued body corporate Page 2 2012 SL No. 25

Hospitals Foundations Amendment Regulation (No. 1) 2012 [s 3] may be continued or started by or against the continuing body corporate; and (d) a reference to the discontinued body corporate in an instrument (other than a statutory instrument) in existence at the amalgamation is taken to be a reference to the continuing body corporate; and (e) the general fund of the discontinued body corporate becomes part of the general fund of the continuing body corporate; and (f) a trust fund of the discontinued body corporate becomes a trust fund of the continuing body corporate; and (g) a bequest to the discontinued body corporate, whether made before or after the amalgamation, is taken to be a bequest to the continuing body corporate; and (h) an agreement or arrangement in force immediately before the amalgamation to which the discontinued body corporate is a party— (i) is an agreement or arrangement to which the continuing body corporate is a party; and (ii) may be enforced by or against the continuing body corporate; and (i) the official seal of the discontinued body corporate affixed to a document before the amalgamation is taken to be the official seal of the continuing body corporate; and (j) any records of the discontinued body corporate become the records of the continuing body corporate; and (k) any thing done by the discontinued body corporate under the Act before the amalgamation is taken to be done by the continuing body corporate. ‘(4) The registrar of titles or other person responsible for keeping a register for dealings in property must, if asked by the continuing body corporate, record the vesting of property under this section in the continuing body corporate. ‘(5) In this section— 2012 SL No. 25 Page 3
