" Counc i l "—The members of t h e Council a t any duly convened

for t he t ime be ing be t h e secre tary or secretaries honora ry or otherwise of t he said Society (saving and excep t ing a n y assistant secretary of t he said Society) .
2. The Pres ident Vice-Pres ident officers and member s of t he said Society for t h e t i m e be ing and all persons who shal l in m a n n e r provided by t h e rules and by-laws for t h e t ime be ing of t h e said Society become members thereof shal l be for t h e purposes here inaf ter ment ioned a body corporate by t h e n a m e or style of t he " Eng inee r ing Associat ion of N e w South W a l e s " and by tha t n a m e shal l and may have perpe tua l succession and a c o m m o n seal and shall and m a y enter in to cont rac ts sue and be sued plead, and be impleaded answer and be answered to defend and be defended in al l Courts and places whatsoever and may prefer lay and prosecute any ind ic tment informat ion a n d prosecut ion aga ins t a n y person whomsoever and any summons or o ther wr i t a n d any not ice or o ther proceeding which i t m a y be requisi te to serve upon t h e Corporat ion m a y be served upon t h e secretary or one of t h e secretaries as t h e case m a y be or if there be no secretary or if t h e secretaries or secretary be absent from t h e Colony t h e n upon the Pres ident or Vice-President .
3 . The present rules and by-laws of t h e said Society shall be deemed and considered to be and shall be t he ru les and by-laws of t he said Corporat ion save a n d except in so far as any of: t h e m are or shall or m a y be a l tered varied or repealed unde r t he powers for t h a t purpose there in conta ined or are or m a y be inconsis tent or incompat ib le w i th
| or r e p u g n a n t to any of t h e provisions of th is A c t | or any of t he | laws |
now or hereinaf ter to be in force in t he said Colony.
4. The Corporat ion shall have power to purchase acqu i re a n d
hold lands and any in teres t t he re in and also to sell and dispose of t h e
said lands or any interes t there in and all lands t enements heredi ta
| m e n t s and other p roper ty of wha tever n a t u r e now belonging to t h e |
said Society u n d e r t he said rules and by- laws or vested in t rus tees for t h e m shall on t h e passing of th i s A c t be vested in and become the proper ty of t h e said Corporat ion subject to all charges and claims and demands in anywise affecting the same.
5. The ord inary business of t h e Corporation in reference to i ts p roper ty shall be mana ged by the Council and it shall not be lawful for individual members to interfere in any way in t he m a n a g e m e n t of t h e affairs of t he Corporat ion except as b y t h e rules and by-laws for t h e t ime be ing shal l be specially provided.

tendence of t he affairs of t he Corporat ion and excep t ing the appoint m e n t of Pres idents and Vice-Presidents a n d other honorary officers who shal l be appointed as t h e by- laws of t he Society shal l from t ime to t ime provide t he Counci l shall have t h e appo in tmen t of all officers a n d servants requi red for car ry ing ou t the purposes of t he Society and of preserving its p roper ty and i t m a y also define t h e dut ies a n d fix t he salaries of all officers Provided t h a t if a vacancy should occur in the
| Council d u r i n g any c u r r e n t year of t h e Society 's | proceedings | it | shall be |
be lawful for t he Council to elect a m e m b e r of the Society to fill such vacancy for t h e unexp i red por t ion of t he t h e n cu r ren t year The Council m a y also purchase or ren t l and houses or offices and erect bui ld ings or other s t ruc tures for any of t h e purposes for which the Society is he reby incorporated and m a y borrow money for t he purposes of t he Corporat ion on mor tgages of t h e rea l and cha t te l p roper ty of the Corporation or any pa r t thereof or m a y borrow money wi thou t securi ty

exceed in t h e aggrega te t h e a m o u n t of t h e income of t h e Corporation for t h e last p receding year a n d the Council may also set t le and agree to t h e covenants powers and author i t ies to be contained in t h e securities aforesaid.

being insufficient to mee t its engagements each member thereof shal l in addi t ion to his subscript ion for t h e t h e n cu r ren t year be l iable to con t r ibu te a s u m equa l there to towards t he p a y m e n t of such engage m e n t s b u t shall not be otherwise individual ly l iable for t h e same a n d no m e m b e r who shall have commuted his a n n u a l subscript ion shall be so

| 8. The-Counci l shall have t h e | cus tody of t h e c o m m o n seal of |
t he Corporat ion and have power to use t h e same in t he affairs and business of t he Corporat ion and for t h e execut ion of any of the securities aforesaid and m a y under such seal author ize any person w i t h o u t such seal t o execute a n y deed or deeds a n d do such other m a t t e r as m a y be requi red to be done on behalf of t he Corporat ion b u t i t shall no t be necessary to use t h e said seal in respect to the ord inary business of t he Corporat ion nor for the appo in tmen t of the i r secretaries solicitor or other officers.

10 . I n case any of t h e elections directed by t h e ru les and by
laws for t he t ime being of t he Corporation to be m a d e shal l no t be
m a d e a t t he t imes required i t shall never theless be competen t to t he
| Counci l or to t h e members as t h e case m a y bo to m a k e such | elections |
| respect ively a t any ord inary mee t ing of t he Council or a t | any | a n n u a l |
| or special general meet ing held subsequent ly . |
1 1 . The Pres ident or Vice-President or the Secretary or e i ther
one of t he secretaries m a y represent the Corporation in all legal and
equi table proceedings and m a y for and on behalf of t he Corporat ion
m a k e such affidavits and do such acts and sign such documents as a re or m a y be requi red to be done by the plaintiff or compla inan t or defendant respect ively in a n y proceeding to which the Corporat ion may be par t ies .
