Corporations Regulations 2(Amendment)

I, The Governor-General of the Commonwealth of Australia, acting with the advice of the Federal Executive Council, make the following Regulations under the Corporations Act 1989.

1.   Amendment

1.1   The Corporations Regulations are amended as set out in these Regulations.

[NOTE: These Regulations commence on gazettal: see Acts Interpretation Act 1901, s.48.]

2.   New regulation 1.13a

2.1   After regulation 1.13, insert:

Participation interests: agreements in relation to limited partnerships

 “1.13a. For the purposes of subparagraph (g) (ii) of the definition of ‘participation interest’ in section 9 of the Corporations Law, the following agreements are prescribed:

  • (a)

    a limited partnership that relates to a scheme where the partnership or the scheme is promoted by:

    • (i)

      an associate of a person whose ordinary business is to promote, or includes the promotion of, similar schemes; or

    • (ii)

      a person who is not, or is not to be, a partner in the partnership;

  • (b)

    a limited partnership that has, or is intended to have, more than 15 partners of any kind.”.
