Corporations Regulations 2(Amendment)

I, The Governor-General of the Commonwealth of Australia, acting with the advice of the Federal Executive Council, make the following Regulations under the Corporations Act 1989.

1.   Amendment

1.1   The Corporations Regulations are amended as set out in these Regulations.

[NOTE: These Regulations commence on gazettal: see Acts Interpretation Act 1901, s. 48.]

2.   Regulation 6.7.01 (Notice given to company by substantial shareholder)

2.1   Subregulation 6.7.01 (2):

Omit “12”, substitute “4”.

2.2   Regulation 6.7.01:

Add at the end:

 “(3) Subregulation (1) does not apply where the relevant interest or relevant interests were acquired in a transaction that took place on a stock exchange approved under section 769 of the Corporations Law.”.

3.   Regulation 6.7.02 (Notice of change in relevant interest or relevant interests of substantial shareholder)

3.1   Regulation 6.7.02:

Add at the end:

 “(2) Subregulation (1) does not apply where the notifiable change in the relevant interest or the relevant interests occurred as the result of a transaction that took place on a stock exchange approved under section 769 of the Corporations Law.”.

4.   Regulation 6.7.03 (Notice to be given to corporation by former substantial shareholder)

4.1   Regulation 6.7.03:

Add at the end:

 “(2) Subregulation (1) does not apply where the notifiable change in the relevant interest or the relevant interests occurred as the result of a transaction that took place on a stock exchange approved under section 769 of the Corporations Law.”.

5.   Schedule 1 (List of forms in Schedule 2)

5.1   Item 101:

Omit “Notice of interests of substantial shareholder”, substitute “Initial substantial shareholder notice”.

5.2   Item 102:

Omit “Change in interests of substantial shareholder”, substitute “Notice of change in interests or entitlements of substantial shareholder”.

5.3   Item 103:

Omit “Notice by person ceasing to be substantial shareholder”, substitute “Notice of ceasing to be a substantial shareholder”.

6.   Schedule 2 (Forms)

6.1   Form 603 (Notice of interests of substantial shareholder):

Omit the form, substitute:

6.2   Form 604 (Change in interests of substantial shareholder):

Omit the form, substitute:
