Corporations (Fees) Regulations 2(Amendment)

I, The Governor-General of the Commonwealth of Australia, acting with the advice of the Federal Executive Council, make the following Regulations under the Corporations Act 1989.

1.   Amendment

1.1   The Corporations (Fees) Regulations are amended as set out in these Regulations.

[NOTE: These Regulations commence on gazettal: see Acts Interpretation Act 1901, s. 48.]

2.   Schedule (Prescribed fees)

2.1 After item 15,

  insert:

“15A

On lodging an application under subsection

 118 (1), before 1 January 1995, for the registration of a Division 1 company, where it is stated in the memorandum of the company that:

  • (a)

    the company is formed for the purpose of acting solely as the trustee of a regulated superannuation fund within the meaning of section 19 of the Superannuation Industry (Supervision) Act 1993; and

  • (b)

    the memorandum of the company prohibits the distribution of the company’s income or property among its members

2.2   Item 26:

Omit “28 or 29”, substitute “28, 29 or 32A”.

2.3   After item 32, insert:

“32A

On lodging an annual return of a company, if the Commission is satisfied:

  • (a)

    that the memorandum of the company prohibits the distribution of the company’s income or property among its members; and

  • (b)

    that the company operates solely for the purpose of acting as the trustee of a regulated superannuation fund within the meaning of section 19 of the Superannuation Industry (Supervision) Act 1993

32B

On lodging an annual return of a company for which a fee under item 15A was paid prior to incorporation, if:

  • (a)

    the annual return is not one for which a fee is payable under item 32A; and

  • (b)

    no fee has previously been paid under this item;

in addition to the fee payable under item 26, 27, 28, 29, 30 or 31, as the case may be
