WH E R E A S A c t " carry on business in the Un i t ed Kingdom and elsewhere

m a n y Companies registered unde r t he " Companies

out of N e w South Wales and deal ings in the i r shares t he r e are f requent b u t delay and expense are occasioned by reason of the absence of legal provision for keep ing local registers of the i r m e m b e r s Be it therefore enacted by the Queen ' s Most Exce l l en t Majes ty by a n d wi th the advice and consent of t he Legis la t ive Counci l and Legislative Assembly of N e w South Wales in Pa r l i amen t assembled and bv the au thor i ty of t he same as follows :—

1. This A c t may be cited for all purposes as the " Companies

Ex t ra -Colon ia l Regis ters Ac t of 1884 . "

2. A n y Company registered in N e w South Wales whose objects comprise t h e t ransact ion of business in t h e U n i t e d K i n g d o m or else­ where may if author ized so to do by its regula t ions as originally framed

or as a l tered by special resolution cause to be kep t in t he Un i t ed
K i n g d o m and in a n y p l a c e elsewhere wi th in t h e Queen 's Dominions

in which it t ransac ts business a b ranch	regis ter of the members the re
resident.

3. The Company shal l give to t h e Regis t ra r of Jo in t Stock

Companies notice of the s i tuat ion of every office where any such b ranch register (in th is Act called an Ext ra-Colonia l Regis ter) is kep t and of any change there in and of t h e d iscont inuance of any such office

in t he event of t h e same being discont inued.

4. A n Ext ra -Colonia l regis ter shall as regards t he par t iculars

entered there in be deemed to be par t of t h e Company 's regis ter of members and shall be evidence of all par t icu la rs entered there in E v e r y such register shall be kep t in t he m a n n e r provided by t h e " Companies A c t " except t h a t t he adver t i sement ment ioned in section th i r ty -one of

t h e Act shal l be inserted in some newspaper c i rcula t ing in t he distr ict

where in t he register to be closed is kep t .

such share there in be regis tered in any other register .

5. Sections t h i r t y and th i r ty - th ree of the said A c t shall equal ly

apply to entr ies in Ext ra-Colonia l registers as to entr ies in the register of t he Company kep t in N e w Sou th Wales a n d the Supreme Cour t and its J u d g e s shall have t h e same jur isdict ion in respect of ent r ies in such Ext ra-Colonia l registers as by those sections is p rov ided wi th respect

to entr ies in t he N e w South Wales Regis ter .

6. The Company shall cause to be t r ansmi t t ed to i ts regis tered

office a copy of every en t ry in i ts Ext ra -Colonia l registers as soon as m a y be after such en t ry is made and shal l keep a t such office entered u p from t ime to t ime dupl icates of such registers The provisions of

section th i r ty of t he " Companies A c t " shall apply to every such

dupl icate and such dupl icate shall for all t h e purposes of t he A c t be

deemed to be par t of the register of members of the Company .

7. Subject to the provisions of th is A c t wi th respect to dupli­ ca te registers the shares registered in a n Extra-Colonial regis ter shall be dis t inguished from the shares registered in the principal register and no t ransac t ion wi th respect to a share registered in an E x t r a - Colonial regis ter shall du r ing the cont inuance of the regis t ra t ion of

8. The Company m a y discont inue any Extra-Colonia l register

and the reupon all entr ies in t h a t register shall he transferred to some o the r regis ter kep t by t h e Company in t he same place or district or to t h e regis ter of m e m b e r s k e p t a t t h e registered office of t h e Company .

9. Subject to t h e provisions of th i s A c t any registered Company

m a y by special resolut ion m a k e such provisions as i t shal l t h i n k fit

respect ing t he keeping of Extra-Colonia l registers .
