Companies (Application of Laws) Regulations 1989 (NSW)

1Name of Regulations

These Regulations may be cited as the Companies (Application of Laws) Regulations 1989.

2Commencement(1)

In this Regulation:

Commonwealth amending Act means the Co-operative Scheme Legislation Amendment Act 1989 of the Commonwealth.

Regulation 4 takes effect on the commencement of section 6 of the Commonwealth amending Act.

(3)

Regulation 5 takes effect on the commencement of section 15 of the Commonwealth amending Act.

(4)

Regulation 6 takes effect on the commencement of section 16 of the Commonwealth amending Act.

(5)

Regulation 7 takes effect on the commencement of section 22 (c) of the Commonwealth amending Act.

(6)

Regulation 8 takes effect on the commencement of section 24 of the Commonwealth amending Act.

(7)

Regulation 9 takes effect on the commencement of section 25 (c) of the Commonwealth amending Act.

3Definition of “the Act”

In these Regulations:

the Act means the Companies (Application of Laws) Act 1981.

4Amendment of Schedule 1 to the Act (clause 2)

Schedule 1 to the Act is amended by inserting after clause 2 (m) the following paragraph:

(n)

in the definition of takeover bid for the words “that Act” there were substituted the words “that Code”.

5Amendment of Schedule 1 to the Act (clauses 28AA, 28AB)

Schedule 1 to the Act is amended by inserting after clause 28 the following clauses:

28AA

In section 130B (2) (b) of the Commonwealth Act for the words “that Act” there were substituted the words “that Code”.

28AB

In section 130G (8) of the Commonwealth Act for the words “that Act” there were substituted the words “that Code”.

6Amendment of Schedule 1 to the Act (clauses 28AC, 28AD)

Schedule 1 to the Act is amended by inserting before clause 28A the following clauses:

28AC

In section 133BB of the Commonwealth Act, in the definition of national newspaper, for the words “the Territory” there were substituted the words “the Australian Capital Territory”.

28AD

In section 133FB (14) of the Commonwealth Act for the words “that Act” there were substituted the words “that Code”.

7Amendment of Schedule 1 to the Act (clause 31AA)

Schedule 1 to the Act is amended by inserting after clause 31 the following clause:

31AA

In section 164 (4) of the Commonwealth Act after the matter “Act 1989” there were inserted the words “of the Commonwealth”.

8Amendment of Schedule 1 to the Act (clause 32A)

Schedule 1 to the Act is amended by inserting after clause 32 the following clause:

32A

In section 174A (1) of the Commonwealth Act after the matter “Act 1989” there were inserted the words “of the Commonwealth”.

9Amendment of Schedule 1 to the Act (clause 40D)

Schedule 1 to the Act is amended by inserting after clause 40C the following clause:

In section 263 (4A) of the Commonwealth Act after the matter “Act 1989” there were inserted the words “of the Commonwealth”.
