By-laws under the Charles Darwin University Act

1Citation

These by-laws may be cited as the Charles Darwin University (Academic Board) By-laws.

2Interpretation
  • (1)

    In these by-laws:

    • (a)

      Act means the Charles Darwin University Act;

    • (b)

      Board means the Academic Board of the University established under section 20 of the Act;

    • (c)

      Chair means the person appointed as chair of the Board from time to time under by-law 5;

    • (e)

      Deputy Chair means the person appointed as deputy chair of the Board from time to time under by-law 5;

    • (f)

      elected member of the Board means a person elected under by-law 3(1)

    • (g)

      Faculty means a faculty of the University from time to time;

    • (h)

      graduand means a student who has completed the requirements of a course, unit or module and is awaiting conferral of their degree or other award by the Council.

    • (i)

      senior academic means a member of the full-time higher education academic staff of the University who holds the position of Associate Professor or Professor;

    • (j)

      senior VET academic means a member of the full-time VET academic staff of the University who holds the position of VET lecturer III or IV; and

    • (k)

      University means the Charles Darwin University.

  • (2)

    A reference in these by-laws to the Vice-Chancellor, a Dean, the President of the Charles Darwin University Students’ Union or the Chair of the Board means the person holding that office from time to time and includes a reference to a person carrying out the duties of that office from time to time.

3Membership of the Board
  • (1)

    The Board consists of:

    • (a)

      the Chair;

    • (b)

      the Vice-Chancellor;

    • (c)

      Deputy Vice Chancellor, Teaching and Learning

    • (d)

      Deputy Vice-Chancellor (Research);

    • (e)

      Pro-Vice-Chancellor (Community and Access);

    • (f)

      an elected student;

    • (g)

      2 members of the full-time higher education academic staff of the University at Level D/E, elected by the senior academics;

    • (h)

      2 members elected by and from the full-time higher education academic staff of the University;

    • (i)

      2 members elected by and from the senior VET academics;

    • (j)

      2 members elected by and from the full-time VET academic staff of the University;

    • (k)

      1 member of the full-time academic staff at Level D/E, elected by the full-time academic staff of the Institute of Advanced Studies;

    • (l)

      the Deans of Faculties of the University; and

    • (m)

      Dean of Indigenous Research and Education.

    • (n)

      Director, VET

    4Term of Office of Elected Members
  • (1)

    Subject to this by-law 4, an elected member of the Board holds office for:

    • (a)

      a term of 2 years, commencing on 1 January in the year following their election; or

    • (b)

      in the case of an elected member filling a casual vacancy, the balance of the term which would have applied to that office if not for the casual vacancy.

  • (2)

    An elected member of the Board vacates office as an elected member of the Board if that member:

    • (a)

      becomes a member of the Board by reason of an office held by that member and ceases to hold the office which was the basis for that person’s election as a member of the Board;

    • (b)

      is absent without the Board’s leave for 3 consecutive meetings of the Board of which reasonable notice has been given to that member either personally or by post, and the Board resolves to remove that person from office as a member of the Board;

    • (c)

      gives to the Vice-Chancellor a written notice of resignation signed by that member.

  • (3)

    A person who is or has been an elected member of the Board is, subject to these by-laws, eligible to be elected for a second and third term, but no more than 3 consecutive terms.

  • (4)

    The manner in which elections of elected members of the Board, including for the filling of casual vacancies, are to be conducted and the results of those elections are to be determined is as the Vice‑Chancellor may direct from time to time.

5Chair and Deputy Chair
  • (1)

    The Chair of the Board is to be appointed as follows:

    • (a)

      the Board must call for nominations from interested persons in a manner the Board thinks fit, and the Board must select from those nominations a person to recommend to the Council for appointment as Chair;

    • (b)

      the Council must consider the recommendation of the Board and appoint a person as Chair of the Board.

  • (2)

    The Chair holds office for a period of 2 years commencing on 1 January in each year following their appointment, and is eligible to be appointed as Chair for a further term of 2 years, but must not hold office for more than 2 consecutive terms.

  • (3)

    The Chair of the Board is entitled to appointment at a minimum of level D on the Higher Education Scale or level 4 on the VET Scale, for the duration of that person’s appointment as Chair and holds the office of Chair on such other terms as the Board thinks fit.   The Council may authorise the use of an appropriate title for the duration of the appointment.

  • (4)

    The Deputy Chair must be elected by the Board:

    • (a)

      where the Chair appointed under this by-law 5 is a member of the higher education academic staff, from those members of the Board who are full-time members of the VET academic staff; and

    • (b)

      where the Chair appointed under this by-law 5 is a member of the VET academic staff, from those members of the Board who are members of the full-time higher education academic staff.

    6Functions of the Board
  • (1)

    The Board is to, in addition to the functions conferred on it by section 20 of the Act, provide full assistance to the Council in all matters relating to learning, teaching, assessment, research and research training together with the assurance and enhancement of the academic quality and standards of all University programmes and awards.

  • (2)

    In particular, but without limiting by-law 6(1), the Board has the following functions:

    • (a)

      to make recommendations or report to the Council or the Vice‑Chancellor on academic policy and process and implementation including admission, course design and delivery, assessment, student progress and discipline, course regulations and quality assurance;;

    • (b)

      to assist in the formulation of academic objectives and goals of the University and the actions necessary to sustain and develop such objectives and goals, and where appropriate advise Council on the impact of proposed organisational change on the academic aims of the University;

    • (c)

      to assist in the development, progress monitoring and achievement of the University’s teaching and learning and research plans and strategies;

    • (d)

      to provide leadership in academic matters by promoting discussion and dissemination of information within the academic staff of the University regarding best practice in learning and teaching, assessment and research;

    • (e)

      to recommend to the Council academic proposals for the introduction of new academic programmes; and to ensure that existing academic programmes of study are reviewed regularly taking into account developments in the discipline, the needs of students and other relevant parties and the achievement of students on those programmes;

    • (f)

      to receive and consider reports on the periodic reviews of teaching and learning provision, to determine further action to be taken and to give a report and make recommendations to the Council;

    • (g)

      to receive and consider reports from committees, panels and working groups established by the Board on all matters delegated to those committee/panels;

    • (h)

      to review and advise and recommend to Council the conditions for the granting of relevant fellowships, scholarships, prizes and similar awards;

    • (i)

      to advise Council of a list of graduands;

    • (j)

      to respond to matters referred to it by the Council or Vice‑Chancellor.

    7Meetings of the Board
  • (1)

    The Chair of the Board or, if the Chair is for any reason unable to act, the Deputy Chair, must call as many meetings of the Board as are necessary for the performance of the Board’s functions, but in any case so that the interval between meetings does not exceed four months.

  • (2)

    The Chair of the Board or, if the Chair is for any reason unable to act, the Deputy Chair, must call a meeting of the Board within 14 days after being requested to do so by not less than 50% of the members of the Board from time to time.

  • (3)

    A meeting of the Board must be presided over by the Chair, or in the Chair’s absence, by the Deputy Chair, or in the absence of both the Chair and the Deputy Chair, by a member elected for the purpose by the members present at that meeting.

  • (4)

    At a meeting of the Board:

    • (a)

      a quorum is constituted by 50% of the members of the Board from time to time;

    • (b)

      questions arising are to be determined by a majority of the votes of the members present and voting, and in the event of an equality of votes, the person presiding at that meeting has a casting vote; and

    • (c)

      subject to these by-laws, the Board must determine the process to be followed in connection with the meeting.

    8Other Committee/Panels

    The Board may establish committees/panels as it thinks fit, and a person may be appointed as a member of that committee/panel whether or not that person is a member of the Board.

9Repeal

The by-laws in force immediately prior to the date of commencement of these by-laws and known as the Charles Darwin University (Academic Board) By-laws are repealed on and from the date of commencement of these by-laws.
