Chamberlain Group Pty Ltd v Kids for Life Academy Pty Ltd

Chamberlain Group Pty Ltd (the landlord) appealed a decision of the primary judge concerning the assignment of a retail lease to Kids for Life Academy Pty Ltd (the assignee). The central dispute revolved around whether the landlord had consented to the assignment of the lease to the assignee, who had taken actual possession of the premises with the landlord's knowledge. A letter signed on behalf of the landlord, undertaking to register the transfer "ASAP," was a key piece of evidence considered by the primary judge.

The court was required to determine whether the primary judge had erred in finding that the landlord had consented to the assignment of the lease. Additionally, the court considered whether the primary judge had been correct in declining to determine a further issue, namely whether the assignee's purported exercise of an option to renew the lease was valid, given that the parties had agreed to litigate this issue separately and had not pursued it further at first instance.

The appellate court rejected the landlord's challenge to the primary judge's findings. The court found no error in the primary judge's determination that the landlord had consented to the assignment, based on the evidence presented, including the letter undertaking to register the transfer. Furthermore, the court held that the parties were bound by the way the case was conducted at first instance, and therefore, the primary judge had not erred in declining to determine the separate question regarding the validity of the option exercise.

The appeal was dismissed, and the landlord was ordered to pay the costs of the assignee.
