DIVISION INCORPORATION.

Act No. 62, 1929.

An Act to incorporate the Executive Committee of the "New South Wales Division of the Australian Red Cross Society; to confer and impose upon that body certain powers, duties, rights, and liabilities; to vest in it the property of the said society in New South Wales; and for purposes connected therewith. [Assented to, 24th December, 1920.]

1 . This A c t m a y be cited as t h e " A u s t r a l i a n Red

" B r a n c h " means a b r a n c h of t he New South W a l e s
Division of t h e A u s t r a l i a n B e d Cross Society.
" C o n s t i t u t i o n " means t h e cons t i tu t ion for t h e t ime
be ing of t h e N e w Sou th W a l e s Division of t h e
Aus t r a l i an B e d Cross Society.

" Corporat ion " m e a n s t he body incorpora ted by th is

A c t .

" Division " means t h e New South W a l e s Division of t he Aus t ra l i an l i e d Cross Society.
" E x e c u t i v e commit tee " means t he execut ive com­
mi t t e e for t he t ime be ing appoin ted unde r t h e
Const i tu t ion.
" P r o c l a m a t i o n " means proc lamat ion publ ished in
t h e Gazet te .
" P r o p e r t y " includes real and personal p roper ty
and a n y estate or in te res t of a n y descr ipt ion

or t e n u r e in any proper ty , rea l or personal , and a n y debt and any t h i n g in act ion, and any

r igh t or in teres t .

" Society " means t he Aus t r a l i an Red Cross Society,

be ing a b r a n c h in Aus t ra l i a of t h e Bri t ish

B e d Cross Society.

3 . The persons whose names are set for th in the Schedule here to or o ther t he members from t ime to t ime of t he execut ive commi t tee of t he division are hereby incorporated u n d e r t he n a m e of " T h e N e w

South "Wales Division of t he Aus t r a l i an B e d Cross

Socie ty ," a n d by t h a t n a m e shal l have pe rpe tua l suc­ cession a n d a common seal, and may sue a n d be sued or o therwise appear and answer and be answered or proceed or be proceeded agains t in all cour ts .

4 .     The objects of the corporat ion shall b e —

(a) to accept contributions for general or specific
B e d Cross p u r p o s e s ;
(b) to supply hospitals , ambulances , vehicles,
c lo th ing comforts, services, and any o ther
ma t t e r s or th ings for t h e sick and wounded in
A v a r , and general ly to supp lement t he hospi ta ls '
medical stores and equ ipmen t for t he medical services of the A r m y and Navy and Ai r Force ;
(c) to cont r ibu te aid to t he sick and wounded
i r respect ive of na t ional i ty even t h o u g h t h e

Bri t ish forces are no t engaged ;

(d)

to enrol men and women who are qualified by hav ing obtained certificates in first aid and n u r s i n g in to vo lun ta ry aid de t achmen t s and to co-operate w i t h t h e St. J o h n A m b u l a n c e Associat ion and Br igade in t h e format ion of

un i t s of t ra ined m e n and w o m e n ;

(e)

(e) to r ender assis tance in t h e case of a n y publ ic

disaster, ca lamity , or need in N e w Sou th W a l e s or elsewhere subject in t he las t men­ t ioned case to the approval of t h e Cent ra l Counci l of t he society or in case of emergency of t h e president and t h e execut ive and finance commi t t ee of t he society ;

(f) to promote t h e improvemen t of hea l th , t h e
p reven t ion of disease, and t h e mi t iga t ion of

suffering in N e w Sou th Wales or e l sewhere ;

(g) any fu r the r or o the r object for t he t ime be ing
of t he soc ie ty ;
(h) such fu r ther or o ther publ ic or char i tab le

objects w h e t h e r s imilar or dissimilar to t h e objects hereinbefore set for th as t he Governor may from t ime to t ime , by proclamat ion , appoin t .

5 . The corporat ion shall direct, m a n a g e , and cont ro l

t h e division, and shall have power from t ime to t ime , to do all t h ings for providing and m a i n t a i n i n g in N e w South Wales an efficient organisat ion for the purposes of t h e society, i nc lud ing and wi thou t res t r ic t ing t h e genera l i ty of th i s provision, t he performance, exercise, and car ry ing-out of all such dut ies , powers , and th ings as may per ta in to the objects of t he corpora­ t ion or may be delegated to i t by t he society, and

inc lud ing power from t ime to t i m e —

(a)

to acquire whether by gift, purchase, or other­ wise howsover, and to hold to i t and i ts suc­ cessors proper ty and the same to charge , mor tgage , p ledge, let, demise, assign, endorse,

sell, dispose of, or otherwise howsoever deal
wi th ;

(b)

to m a k e cont rac ts of every sort in l ike m a n n e r as by section two h u n d r e d and for ty-one of t he Companies Act , 1899, is provided regard ing

companies registered u n d e r t he said Act;

(c)

to form, supervise, and control local branches wi th in New South Wales , a n d to delegate to a n y officers of such b ranches such powers a n d dut ies as t he corporat ion may by resolu t ion d e t e r m i n e ;

(d)

to apply the property proceeds and funds for t he t ime be ing vested in or unde r t he control of t h e corpora t ion in the fur therance of any of the objects or powers of t he corporat ion or t h e society a n d in pa r t i cu la r in m a k i n g gifts,

cont r ibut ions , or p a y m e n t s to t h e society or t he
Br i t i sh B e d Cross Soc ie ty ;

(e)

to join or assist any international Red Cross Association and such act ion a t will to de te rmine

or r e n e w ;

(f)

to do or suffer all things which a body corporate m a y lawful ly do or suffer.

I t shall be lawful for the execut ive commi t tee a t a n y t ime to design a n d to change or a l ter t h e common

seal of the corporat ion. Such seal shall be in t he cus­ tody of t h e super in tenden t of t he corporat ion, and shall n o t be affixed to any d o c u m e n t except p u r s u a n t to a

resolut ion of t he execut ive commit tee .
The execut ion of any d o c u m e n t to which the c o m m o n
seal is affixed shal l not be comple te w i thou t t he s igna­
t u r e of two members of the execut ive commit tee :
Provided t h a t no defect in the a p p o i n t m e n t or qual i ­
fication of any person purpor t ing to s ign as aforesaid

u p o n t h e fixing of t h e common seal shal l affect any person deal ing wi th the corporat ion bona-fide and for va lue w i t h o u t not ice of such defect b u t in favor of such person, a n d any person t ak ing t h r o u g h or unde r h i m

such fixing shal l be deemed complete n o t w i t h s t a n d i n g
such de fec t :

Provided also t h a t it shal l no t be necessary to requi re t h e corporat ion of an a t to rney , solicitor, or proc tor in or

s u c h seal to be affixed as evidence of the appo in tmen t by

for t he prosecut ion or defence of any act ion, suit , or o ther
proceeding.

7 . A l l proper ty in N e w Sou th Wales which is now vested in or held by or which hereaf ter a t any t ime m a y be given, devised, or bequea thed to any person in t r u s t for or on behalf of or for t he benefit of t h e society or t h e division or any b r a n c h of t h e society or division in

N e w Sou th Wales shall , by v i r tue of th i s Act, vest in
t h e corpora t ion subject to t h e condit ions or t rus t s upon

which i t is now held or m a y hereafter he given, devised, or b e q u e a t h e d ; and all o ther persons are hereby divested of all such p rope r ty of which t h e y are seised or possessed.

A l l r igh t s accrued or acc ru ing to a n y person in N e w

Sou th W a l e s on behalf of t he society or t h e division or a n y b ranch of t h e society or division a re he reby vested in and m a y be enforced by t h e corporat ion, and a l l l iabili t ies of t h e division or a n y b ranch or person in N e w South W a l e s on behalf of t h e division m a y b e

enforced aga ins t t h e corporat ion.

The corporat ion shal l deal wi th or dispose of t h e p rope r ty ves ted in t h e corporat ion in such m a n n e r , subjec t to any special t r u s t affecting t h e same, as t h e execut ive commi t t ee shal l by resolut ion de termine , b u t subject in t he esse of a mor tgage or sale of real p roper ty

to t h e following condit ions, n a m e l y : —
(a) A n y proposed m o r t g a g e or sale of real p roper ty shal l be submi t t ed in t h e first ins tance to a m e e t i n g of t he execut ive commit tee , and shal l be specially men t ioned in t h e not ice convening
the mee t ing .
(b) A t
a subsequen t m e e t i n g of t he execut ive com­ m i t t e e of which seven days ' not ice shal l b e

given, such proposed m o r t g a g e or sale, if approved by the previous mee t ing , shal l b e submi t t ed to t h e mee t ing , and if approved of

by n o t less t h a n two- th i rds of those present
w h e n t h e mot ion is pu t , m a y be carr ied in to
effect by t h e execut ive commi t tee .
(c) A copy of t he resolut ion of t h e execut ive com­ mi t t ee d i rec t ing t he mor tgage or sale, if sealed

w i t h t h e seal of t he corporat ion, shal l be con­ clusive evidence in favor of a n y person c la iming by, t h r o u g h , or u n d e r such m o r t g a g e or sale a n d of the Reg is t ra r -Genera l or t h e Crown Solicitor t h a t such resolut ion has been du ly passed in compl iance wi th t he provisions

of th i s A c t and of t h e cons t i tu t ion .

(d)

No purchaser or mortgagee shall be bound to see to t h e appl icat ion of any moneys pa id b y h i m .

T h e corporat ion shal l receive all gifts, g ran t s of money, or cont r ibu t ions made by the

New Sou th W a l e s or of t h e Commonwea l th , or by any munic ipa l i ty , incorporated body, society, or person to the division or a b ranch , and shall app ly t h e same in accordance with t h e t e rms of such gifts, g ran t s , or con t r i bu t i ons ; or if t he re be none such or upon such t e rms becoming impossible of performance, or as to a n y s u r p l u s after per formance of such te rms , t h e n in accordance wi th all or any of t h e objects or powers for the t ime be ing of t he corporation.

1 0 . As soon as prac t icable after the c o m m e n c e m e n t

of th is A c t a n i n s t r u m e n t certified unde r the seal of the corporation to be a copy of t he const i tu t ion, and an i n s t r u m e n t certified u n d e r t he said seal to be a copy of

t h e cons t i tu t ion of the society, shal l be regis tered in t he
office of t h e Reg is t ra r -Genera l in the m a n n e r prescribed
b y regula t ions made under t h e Conveyancing Act ,

1 9 1 9 ; and upon any a l tera t ion in ei ther of t he said const i tu t ions there shall be registered in the said office in l ike m a n n e r an i n s t r u m e n t certified u n d e r the said

seal se t t ing for th t h e t e rms of t he said a l tera t ion.
The p roduc t ion of a copy of any i n s t r u m e n t so
regis tered, certified by t h e Regis t ra r -Genera l or a
d e p u t y regis t rar -genera l , shall be received in all cour t s
as conclusive evidence of t h e con ten ts of t he ins t ru­
m e n t ; and in favor of any person dea l ing bona-fide and

for va lue wi th t h e corporat ion shal l , toge ther wi th th i s
Ac t , be conclusive evidence of t h e objects and powers
for t h e t ime being of t he corporat ion unless such person

shal l have not ice to t he cont ra ry .

1 1 .     Not ice to or service upon t h e super in tenden t

or ac t ing supe r in t enden t for t he t i m e being of t he divis ion shal l be deemed to be a notice to or service upon the corporat ion.
