UNIVERSITY OF NEW ENGLAND ACT 1989 - BY LAW
(Relating to the Vice-Chancellor and the academic bodies of the University)

| Council, and in pursuance of the University of New England Act 1989, has been pleased to approve the By-law made by the Board of Governors of the University of New England and set forth hereunder. |

The Board of Governors of the University of New England, in pursuance of the University of New England Act 1989, hereby makes the By-law set forth hereunder.
The By-laws of the University of New England made under the University of New England Act 1953 are amended:
(a) by omitting from clause 1 (1) of By-law No. 3 the words "The Director of External Studies" and by inserting instead the words "The Director of the Distance Education Centre";
(b) by omitting By-law No. 11;
| (c) | by omitting from clause 1 of By-law No. 12 the words ''the Director of External Studies" wherever occurring and by inserting instead the words ''the Director of the Distance Education Centre"; |
| (d) | by omitting By-law No. 13 and by inserting instead the following By-law: |

BY-LAW No. 13 - The Vice-Chancellor.
Functions of the Vice-Chancellor
1. (1) The Vice-Chancellor is the principal executive officer of the University and is responsible to the Board of Governors for the leadership, management and development of the University and the realisation of its stated mission.
(2) Under the Board of Governors and subject to the Act and these By-law and to any rules made by and resolutions of the Board of Governors, the Vice-Chancellor:
| (a) | is responsible for directing institutional planning and development and for the implementation of University policy with respect to academic and other relevant matters, and for formulating the University’s annual budget; and |
| (b) | is responsible for monitoring and evaluating the performance of the University and its constituent parts in relation to its academic, financial and organisational goals and policies. |
(3) The Vice-Chancellor, in exercising the duties and powers and fulfilling the obligations of the position, has such authority as may be necessary or convenient to give effect to the provisions of the Act, these By-law and any rules made by and resolutions of the Board of Governors.
(4) The Vice-Chancellor is, ex officio, a member of every Faculty, School and Committee of the University and any like body within the University and, except in the case of the Finance and Budget Committee, may preside at any meeting of such Faculty, School, Committee or body.
(5) Nothing in this By-law affects the precedence or authority of the Chancellor or Deputy Chancellor.
| (e) | by omitting clause 1 of By-law No. 15 and by inserting instead the following clauses: |
The Academic Senate
1. (1) The Academic Senate is to consist of:
(a) the Vice-Chancellor; and
| (b) | each of the chief executive officers of the network members; and |

| (c) | such other persons as the Board of Governors may determine after receiving the advice of the Academic Senate. |
(2) A Chairperson and Deputy Chairperson of the Academic Senate are to be elected by the Academic Senate from among the professors of the University who are members of the Academic Senate.
(3) Subject to rules made by the Board of Governors on the advice of the Academic Senate, the Chairperson and Deputy Chairperson are not to hold office for more than 2 years consecutively.
(4) The procedure for election of the Chairperson and Deputy Chairperson- is to be governed by resolutions of the Academic Senate.
(5) The Academic Senate:
(a) is the principal academic body of the University,
| (b) | has the right to advise the Board of Governors on all matters relating to teaching, scholarship and research within the University; and |
| (c) | is responsible for formulating and furthering the academic policies of the University, for supervising and co-ordinating the activities of the faculties, departments and other academic. groupings and for promoting and encouraging scholarship and research. |
(6) Subject to the Act, these By-laws and to any rules made by and resolutions of the Board of Governors, the Academic Senate is to:
consider and report on all matters referred to it by the
Board of Governors or the Vice-Chancellor;
advise the Board of' Governors on rules governing the
matriculation, admission and withdrawal of students,
degrees, diplomas and all courses of study, lectures,
examinations and other forms of assessment;
determine matters concerning courses of instruction,
examinations, assessment and requirements for the
| award of degrees (other than honorary degrees), diplomas and other certificates; |

| (d) | establish Joint Boards of Studies for the co-ordination across network members and colleges of cognate academic activities; |
| (e) | recommend the conditions to govern any scholarship, bursary or prize which has been accepted by the Board of Governors on the advice of the Academic Senate; |
| (f) | advise the Board of Governors in respect of the criteria for the selection, grading and promotion of members of the academic staff; |
| (g) | consider and take action on reports from faculties, schools and Joint Boards of Studies and, at its discretion, refer matters to faculties, schools and Joint Boards of Studies for consideration and report; |
| (h) | at its discretion, submit recommendations to the Board of Governors on any matters affecting teaching, scholarship and research; and |
(i) submit a report on its proceedings to the meeting of the Board of Governors next following that of the Academic Senate.
(7) The Academic Senate may make rules consistent with subclauses (1)-(6) to govern the election, powers and duties of its officers and the conduct of its meetings, and may appoint such committees as it considers necessary to carry out its business.
(8) The Academic Senate may request the Board of Governors to make rules relevant to the subjects mentioned in subclauses (5) and (6).
The Academic Executive Committee
1A. (1) There is to be a committee to be called the Academic
Executive Committee consisting of:
| (a) | the Vice-Chancellor, the Deputy Vice-Chancellors, the Principal of Orange Agricultural College and the Chairperson and Deputy Chairperson of the Academic Senate; and |
| (b) | such other members as may be prescribed from time to time by rules made by the Board of Governors after receiving the advice of the Academic Senate. |
(2) The Chairperson and Deputy Chairperson of the
Academic Senate are to be the Chairperson and Deputy

| Chairperson, | respectively, | of the Academic Executive |
| Committee. |
(3) The Academic Executive Committee is to be a subcommittee of the Academic Senate and is to exercise the powers of the Academic Senate between meetings of the Academic Senate.
Other academic entities
1B. The Board of Governors may resolve, on the advice of the Academic Senate, to establish or disestablish other academic entities of the University.
EXPLANATORY NOTE
The object of this By-law is to amend the By-laws of the University of New England:
to replace current provisions relating to the Vice-Chancellor of the University with new provisions setting out the functions of the Vice-Chancellor; and
to replace provisions relating to the former Academic Board of the University with new provisions dealing with the constitution and functions of the new Academic Senate, providing for the establishment of an
Academic Executive Committee and enabling the Board of Governors of the
University to establish or disestablish other academic entities of the
University and
to omit provisions relating to the Department of External Studies and to
| replace references to that Department with references to the Distance | ||
