Overview

Statutory Rules 1917, No. 194, the Regulations under the War Precautions Act 1914-1916, were enacted to address the complexities arising from the sale of shares that had been transferred to or vested in the Public Trustee due to the wartime exigencies. This legislative instrument was introduced by the Governor-General in Council, in response to the urgent need to manage the assets of enemy shareholders during World War I. The policy objective was to ensure that the transfer of shares was conducted in a manner that protected the interests of all parties involved, while also maintaining the security and integrity of Australia's wartime economic measures. The regulations were designed to facilitate the sale of shares by the Public Trustee and to ensure that the transferee acquired full rights and interests in the shares, notwithstanding any existing liens or charges.

Scope and Application

The War Precautions (Enemy Shareholders) Regulations, made under the authority of the War Precautions Act 1914-1916, govern the management of shares held by the Public Trustee due to their association with enemy shareholders during times of war. These Regulations specifically apply to entities and individuals who have shares transferred to the Public Trustee as a result of their connection to enemy interests. The application of these Regulations is national in scope, impacting all states and territories within the Commonwealth of Australia. The Regulations allow for the sale of shares by the Public Trustee, with the transfer of such shares to a purchaser being executed by the Public Trustee, thereby vesting the shares absolutely in the transferee. This transfer is effective despite any conflicting provisions in state laws and any existing liens or charges on the shares. Furthermore, the Regulations stipulate that the proceeds of any shares sold by the Public Trustee, which were subject to any lien or charge, must be held by the Public Trustee subject to those conditions.

Key Provisions

The primary operative sections of this Statutory Rules document amend the War Precautions (Enemy Shareholders) Regulations. Regulation 11c (1) allows the Public Trustee to execute a transfer of shares sold by them to the purchaser, transferring all rights, title, and interest in the shares to the transferee (Regulation 11c(2)). If shares were transferred to the Public Trustee subject to any lien or charge, the proceeds of the sale must be held subject to that lien or charge (Regulation 11c(3)). The Schedule provides a form for the transfer of shares by the Public Trustee, detailing the transfer of specific shares from the Public Trustee to the transferee. The Regulations impose several obligations on the Public Trustee. They must execute a transfer of shares sold by them to the purchaser, ensuring that all rights, title, and interest in the shares vest in the transferee (Regulation 11c(2)). If the shares were subject to any lien or charge, the Public Trustee must hold the proceeds of the sale accordingly (Regulation 11c(3)). The Public Trustee is also required to use the transfer form provided in the Schedule for the transfer of shares, ensuring all necessary details are accurately recorded and witnessed. Breaches of these Regulations could lead to civil or criminal consequences, though specific penalties are not stated in the text. The Regulations aim to manage the transfer of enemy shareholders' shares during wartime, and failure to comply could result in legal action. The precise consequences would depend on the specific nature of the breach and relevant laws at the time.
