Overview

The Takeovers Panel – Seventeen Part-Time Members – Appointments and Reappointments 2024 instrument was enacted to address the need for skilled and independent part-time members in the Takeovers Panel, ensuring its effective functioning and the fair administration of takeovers in the Australian market. The instrument was issued by the Honourable David Hurley AC DSC (Retd), the Governor-General of the Commonwealth of Australia, in accordance with subsection 172(2) of the Australian Securities and Investments Commission Act 2001. The policy objective is to appoint and reappoint part-time members who bring a range of expertise and experience to the Panel, thereby enhancing its capacity to make informed and balanced decisions on takeover-related matters. This ensures the integrity and efficiency of the Australian securities market, supporting investor confidence and market stability. The instrument appoints seven new part-time members and reappoints ten existing members, all for a period of three years from 30 April 2024. This strategic move aims to maintain the balance of expertise within the Panel, providing continuity and stability while also introducing new perspectives and skills. By ensuring that the Panel is composed of highly qualified and diverse individuals, the legislation aims to uphold the standards of fairness and transparency in takeover processes, ultimately protecting the interests of all stakeholders in the Australian financial market.

Scope and Application

This notifiable instrument pertains to the appointment and reappointment of part-time members for the Takeovers Panel, which operates under the auspices of the Australian Securities and Investments Commission (ASIC). Specifically, it appoints seven new part-time members, Kierin Deeming, Katrina Efthim, Jonathan Gidney, Reeny Paraskeva, Richard Phillips, Christopher Stavrianou, and Georgina Varley, and reappoints ten existing members, Stephanie Charles, Teresa Dyson, Marina Kelman, Jeremy Leibler, Sandy Mak, Rory Moriarty, Karen Phin, Sarah Rennie, John Sheahan, and Nicola Wakefield-Evans, each for a term of three years starting from 30 April 2024. This instrument is enacted under the authority of the Australian Securities and Investments Commission Act 2001 and involves the Federal Executive Council's advice. The geographic reach of this instrument is national, as it concerns the federal regulatory body, ASIC, and the operations of the Takeovers Panel, which apply across the Commonwealth of Australia. The instrument does not detail specific exclusions, exemptions, or thresholds, but it operates within the broader framework of the Australian Securities and Investments Commission Act 2001, which may include various provisions for exceptions and regulatory thresholds.

Key Provisions

The main operative sections of F2024N00357 involve the appointment and reappointment of part-time members to the Takeovers Panel, specifically for a three-year term beginning on 30 April 2024. Under section 2(a), the Governor-General, in accordance with subsection 172(2) of the Australian Securities and Investments Commission Act 2001, appoints Kierin Deeming, Katrina Efthim, Jonathan Gidney, Reeny Paraskeva, Richard Phillips, Christopher Stavrianou, and Georgina Varley as part-time members. Section 2(b) further provides for the reappointment of Stephanie Charles, Teresa Dyson, Marina Kelman, Jeremy Leibler, Sandy Mak, Rory Moriarty, Karen Phin, Sarah Rennie, John Sheahan, and Nicola Wakefield-Evans, all also for a three-year term starting on the same date. This legislative instrument ensures continuity and stability within the Takeovers Panel by clearly defining the terms of service for these individuals. The obligations imposed by this Act on the parties involved are straightforward and centred around the tenure of the appointed and reappointed members. The newly appointed part-time members are required to commence their duties on 30 April 2024 and serve for the specified three-year period. For the reappointed members, the Act confirms their continuation in their roles, also beginning on 30 April 2024, for another three years. These obligations are explicit and ensure that the composition of the Takeovers Panel is maintained and that members are aware of the duration of their service. There are no specific offences, penalties, or civil or criminal consequences outlined within this particular legislative instrument for breach of the provisions. The focus of F2024N00357 is administrative, detailing the appointments and reappointments of part-time members to the Takeovers Panel. The Act does not delve into punitive measures for non-compliance but rather establishes the framework for the members' roles and terms. The governance and oversight of these appointments are presumably managed under broader regulatory frameworks or separate legislation.
