Overview

The Takeovers Panel – Members – Appointments and Reappointments (No. 1) 2026 Instrument, enacted in 2026, aims to address the need for the reappointment and appointment of members to the Takeovers Panel, an independent body established under the Australian Securities and Investments Commission Act 2001. This notifiable instrument is issued by the Honourable Sam Mostyn AC, Governor-General of the Commonwealth of Australia, in accordance with the authority granted under subsection 172(2) of the Australian Securities and Investments Commission Act 2001. The underlying policy objective is to ensure the continuity and effectiveness of the Panel in overseeing and resolving takeover disputes in Australia, thereby maintaining market integrity and protecting the interests of shareholders and other stakeholders.

Scope and Application

The F2026N00260 (Notifiable instrument) Takeovers Panel – Members – Appointments and Reappointments (No. 1) 2026I serves to regulate the appointments and reappointments of members of the Takeovers Panel under the Australian Securities and Investments Commission Act 2001. This Act applies specifically to the reappointment of twelve existing members of the Takeovers Panel, Joseph Fayyad, Emma-Jane Newton, Erin Tinker, Sylvia Falzon, Louise Higgins, Kate Towey, Kristen Jung, Michael Lishman, James Stewart, Yasmin Allen, Rebecca Maslen-Stannage, Diana Nicholson, and Neil Pathak, all on a part-time basis for a term of three years starting 2 April 2026. Additionally, it facilitates the appointment of four new members, Justin Harris, Christine McLoughlin, Jane McAloon, and Antonella Pacitti, also on a part-time basis for the same term. The geographic reach of this legislation is limited to the Commonwealth of Australia, as it is enacted under the authority of the Australian federal government. The instrument does not explicitly state any exclusions, exemptions, or thresholds, suggesting that the appointments are governed by the terms and conditions specified within the act itself. Any additional regulations or modifications to the scope of this legislation could potentially be introduced through subordinate instruments, which would further detail the operational framework for the Takeovers Panel.

Key Provisions

The Takeovers Panel – Members – Appointments and Reappointments (No. 1) 2026I is a notifiable instrument issued by the Honourable Sam Mostyn AC, Governor-General of the Commonwealth of Australia, acting with the advice of the Federal Executive Council under subsection 172(2) of the Australian Securities and Investments Commission Act 2001. This instrument reappoints thirteen existing members of the Takeovers Panel and appoints four new members, all on a part-time basis and for a three-year term beginning on 2 April 2026. The reappointed members are Joseph Fayyad, Emma-Jane Newton, Erin Tinker, Sylvia Falzon, Louise Higgins, Kate Towey, Kristen Jung, Michael Lishman, James Stewart, Yasmin Allen, Rebecca Maslen-Stannage, Diana Nicholson, and Neil Pathak. The newly appointed members are Justin Harris, Christine McLoughlin, Jane McAloon, and Antonella Pacitti. The Act imposes specific obligations on the members of the Takeovers Panel. They are required to act independently and impartially in their roles, ensuring that they do not have any conflicts of interest that could affect their decision-making. The members are also tasked with overseeing and regulating takeovers of listed companies in Australia, making sure that the processes are conducted fairly and in accordance with the law. Additionally, they are responsible for resolving disputes that may arise during the takeover process, providing a mechanism for parties to appeal decisions, and ensuring that the interests of all stakeholders are considered. There are no explicit offences, penalties, or civil/criminal consequences detailed in this notifiable instrument. However, the role of the Takeovers Panel members is crucial in maintaining the integrity of the takeover process. Breaches of their duties, such as failing to act independently or impartially, or not adhering to the processes set out by the law, could potentially lead to disciplinary actions, including removal from office. While the notifiable instrument itself does not specify penalties, the broader legal framework under which the Panel operates, including the Australian Securities and Investments Commission Act 2001, would apply to any misconduct or breaches of duty by the members.
