Overview

The Financial Sector (Shareholdings) Act 1998 was enacted to address the need for regulating significant shareholdings in financial sector companies, ensuring stability and integrity within the financial sector. This legislation was introduced to safeguard the Australian financial system from potential risks posed by excessive concentrations of ownership in financial institutions. The Act empowers the Treasurer to grant or revoke approvals for individuals or entities to hold significant stakes in financial sector companies. In this context, the Act seeks to balance the interests of stakeholders while maintaining the resilience and security of the financial sector. The Financial Sector (Shareholdings) Act 1998 was enacted by the Parliament of Australia to provide a framework for the regulation of significant shareholdings in financial sector companies. The policy objective of the Act is to protect the stability and integrity of the financial sector by preventing undue concentration of ownership and mitigating potential risks. The Act allows the Treasurer to approve or disapprove applications for shareholdings exceeding 20% in financial sector companies, ensuring that such stakes do not pose a threat to the financial system. This legislative instrument revokes an existing approval and grants new approvals to specified entities to hold a 100% stake in Auto & General Insurance Company Limited, aligning with the policy objectives of the Act.

Scope and Application

The Financial Sector (Shareholdings) Act 1998 applies to the persons named in Schedules 1 and 2, along with Maitland Administration (Guernsey) Limited, Maitland International Holdings plc, MTC Holdings Limited, and Theseus (Monaco) SARL ATF the Family ‘tHooft Trust. The Act governs the approval process for holding a stake in a financial sector company of more than 20%, specifically targeting entities involved in such shareholdings. Its jurisdictional reach is national, as it is a Commonwealth Act. The Act allows for the revocation of existing approvals and the granting of new approvals for substantial shareholdings in financial sector companies, with the scope limited to entities seeking to hold more than 20% of shares in such companies. The Act does not specify exclusions or exemptions, but the approval process considers the national interest. The application and revocation of approvals may be extended through subordinate instruments, though the primary legislation provides the legal basis for these actions.

Key Provisions

The primary operative sections of the Financial Sector (Shareholdings) Act 1998, as applied in this Gazette, involve the revocation of an existing approval (subsection 18(3)) and the granting of new approvals (paragraph 14(1)(a)). Specifically, the Gazette revokes the existing approval (section 14(1)) held by the Existing Approval Holders to hold a 100% stake in Auto & General Insurance Company Limited (AGIC) and grants new approvals to the Applicants, Maitland Administration (Guernsey) Limited, Maitland International Holdings plc, MTC Holdings Limited, and Theseus (Monaco) SARL (Monaco) ATF the Family ‘tHooft Trust, allowing them to hold a 100% stake in AGIC. Theseus (Monaco) SARL (Monaco) ATF the Family ‘tHooft Trust's approval is contingent upon the completion date of a specified Restructure. The Act imposes various obligations and requirements on the parties governed by it. Firstly, the Existing Approval Holders, upon request, must relinquish their existing approval to hold a stake in AGIC. Secondly, the Applicants must submit an application under section 13 of the Act to hold a stake in AGIC. The Applicants, alongside the other entities named, must ensure compliance with the Act’s provisions, which include the national interest consideration by the delegate of the Treasurer, in this case, Aaron Liang. Compliance also involves meeting any additional conditions or criteria set forth in the Gazette, such as the completion of the Restructure for Theseus (Monaco) SARL (Monaco) ATF the Family ‘tHooft Trust. The Gazette further outlines the potential consequences for non-compliance with the Act. While specific offences, penalties, or consequences are not detailed in this particular Gazette, the Act generally provides for civil and criminal penalties for breaches. Civil penalties may include fines up to a specified maximum amount, while criminal penalties could result in imprisonment. The exact penalties are outlined in other sections of the Act, which could impose significant financial and legal repercussions for entities that fail to comply with the Act’s requirements. In summary, this Gazette serves to revoke an existing approval and grant new approvals under the Financial Sector (Shareholdings) Act 1998, imposing obligations on the involved parties to comply with the national interest considerations and conditions set forth by the Treasurer’s delegate. Non-compliance with the Act may result in civil and criminal penalties, although the specifics of these penalties are not detailed in this Gazette.
