Overview

The Financial Sector Shareholdings Act 1998 was enacted to provide the Treasurer with the authority to approve or disapprove certain shareholdings in financial sector companies by foreign entities, ensuring that such entities do not acquire stakes that could threaten the stability and integrity of Australia's financial system. The Act addresses the problem of potential undue foreign influence in the Australian financial sector by allowing the Treasurer to scrutinise and control significant shareholdings. Enacted by the Parliament of Australia, the policy objective behind the Act is to maintain the soundness and efficiency of the financial system by preventing any foreign entity from gaining excessive control over an Australian financial institution. In this context, the revocation of the 2010 Approval by a delegate of the Treasurer signifies a response to specific circumstances or changes in the ownership and control structure of the involved entities, ensuring ongoing compliance with the legislative intent to safeguard Australia's financial stability.

Scope and Application

The Financial Sector Shareholdings Act 1998 applies to entities and individuals who seek to hold a significant stake, specifically more than 15%, in a financial sector company within Australia. The Act specifically governs the approval process and conditions under which such shareholdings are permitted, ensuring that entities holding substantial stakes in financial sector companies comply with regulatory standards to maintain financial stability and integrity. The Act applies to various companies and entities associated with Budget Holdings Ltd Co No 24037, which are detailed in the attached Schedule, including those incorporated in Australia, Guernsey, the United Kingdom, South Africa, the British Virgin Isles, and Bermuda. The Act’s jurisdiction extends across these diverse locations, reflecting its national importance and broad application. Notably, the Act can be extended or restricted through subordinate instruments, which may include regulations or other legislative instruments that further define or limit the scope of the Act’s application. This revocation of the 2010 Approval impacts the specified entities by removing the authorisation for them to hold a 100% stake in Auto & General Insurance Company Limited, effective from the date The Reef Foundation becomes the trustee of the Concrete Trust.

Key Provisions

The Financial Sector Shareholdings Act 1998, as amended by this instrument, revokes the 2010 Approval which allowed the applicants to hold a 100% stake in Auto & General Insurance Company Limited ACN 111 586 353. This revocation occurs under the authority of the Treasurer, as delegated to Nigel Phillip John Boik (subsection 18(3) of the Act). The revocation takes effect on the date when The Reef Foundation becomes the trustee of the Concrete Trust. This legislative instrument clarifies that the revocation pertains to the 2010 Approval granted on 28 October 2010, allowing the specified applicants to hold a significant financial sector stake. The Act imposes specific obligations on the parties involved. The applicants, including Budget Holdings Ltd Co No 24037 (Guernsey) and its associated companies, are required to comply with the terms set out in the Act. These terms include holding a stake in a financial sector company, which has now been revoked. Additionally, the Concrete Trust, settled in Guernsey, is integral to the conditions of the revocation. The Act also mandates that these entities adhere to the new terms dictated by the revocation of the 2010 Approval, ensuring they are aware of and comply with the altered legal framework. Any breaches of the Financial Sector Shareholdings Act 1998 can result in significant penalties. The Act does not explicitly detail the maximum penalties for non-compliance within the provided text, but breaches of financial sector regulations in Australia typically involve substantial fines and potential imprisonment for individuals involved. The Act enforces strict compliance, and failure to adhere to the provisions can lead to both civil and criminal consequences. The severity of these penalties underscores the importance of adhering to the legislative requirements. In summary, the Financial Sector Shareholdings Act 1998, through this legislative instrument, revokes the 2010 Approval for the applicants to hold a 100% stake in Auto & General Insurance Company Limited ACN 111 586 353. This revocation is effective upon the Reef Foundation becoming the trustee of the Concrete Trust. The Act imposes clear obligations on the applicants and their associated companies to comply with the new terms. Non-compliance with the Act can lead to significant penalties, highlighting the importance of adherence to the legislative requirements.
