Overview

The Qantas Empire Airways Agreement Act 1946 was enacted to address the need for the Commonwealth to acquire certain shares in Qantas Empire Airways Limited from British Overseas Airways Corporation. This Act was passed by the Parliament of the Commonwealth of Australia and received Royal Assent on 14th December 1946. The central policy objective of the Act is to authorise the Commonwealth to execute an agreement for the purchase of these shares, ensuring that the required funds are appropriated from the Consolidated Revenue Fund. The Act allows for the agreement to either fix the price for the purchase of the shares or provide for the determination of the price by arbitration. This legislation ensures that the Commonwealth can proceed with the acquisition of the shares in a structured and legally binding manner.

Scope and Application

The Qantas Empire Airways Agreement Act 1946 applies to the Commonwealth of Australia, specifically authorizing the execution of an agreement concerning the purchase of certain shares in Qantas Empire Airways Limited. The Act is limited to the agreement between the Commonwealth, the Government of the United Kingdom, and any other necessary party, and it permits the fixing of the purchase price either within the agreement or by arbitration. The geographic reach of this Act is confined to transactions involving the Commonwealth of Australia and the parties to the agreement. The Act provides for the appropriation of necessary funds from the Consolidated Revenue Fund for any payments required under the agreement. There are no stated exclusions, exemptions, or thresholds in the Act itself, though the specific terms of the agreement may introduce certain conditions or limitations. The Act’s scope is further defined by the authority to make subordinate instruments to extend or restrict its application, although such instruments are not detailed within the primary text of the Act.

Key Provisions

The main sections of the Qantas Empire Airways Agreement Act 1946 (sections 3 and 4) authorise the Commonwealth to enter into an agreement with the Government of the United Kingdom and other necessary parties for the purchase of shares held by the British Overseas Airways Corporation in Qantas Empire Airways Limited. This Act also allows for the fixing of the price for the purchase of shares or the determination of the price by arbitration. The Act, upon receiving Royal Assent, becomes effective immediately (section 2). Additionally, section 5 appropriates the necessary funds from the Consolidated Revenue Fund to cover any payments required by the agreement. The obligations under this Act are primarily centred around the execution of an agreement that aligns with the terms specified within the Act. This includes the formalisation of the agreement between the Commonwealth and the relevant parties, as well as the adherence to any price-fixing or arbitration procedures stipulated in the agreement. The Act ensures that the Commonwealth is legally empowered to undertake these transactions, and that the necessary financial provisions are in place to facilitate the purchase of the shares. Breaches of the obligations outlined in this Act may result in legal consequences, though specific penalties or consequences are not explicitly detailed in the text. The penalties for breaches would typically depend on the nature and severity of the non-compliance, and could potentially involve civil or criminal liability. The Act’s primary focus is on facilitating the purchase of shares through a legally binding agreement, ensuring that all necessary steps are taken to complete the transaction as per the authorised terms. In summary, the Qantas Empire Airways Agreement Act 1946 provides a clear framework for the Commonwealth to acquire shares in Qantas Empire Airways Limited from the British Overseas Airways Corporation. The Act mandates the execution of an agreement, allows for the setting or arbitration of share prices, and ensures the appropriation of funds from the Consolidated Revenue Fund. While the Act does not specify detailed penalties for non-compliance, any breaches could lead to legal repercussions, underscoring the importance of adhering to the terms set forth by the Act.
