Proposed transfer of the life insurance business of Macquarie Life Limited ABN 56 003 963 773 (Macquarie Life) to Resolution Life Australasia Limited ABN 84 079 300 379 (Resolution Life Australasia)

Notice of Intention

Macquarie Life and Resolution Life Australasia give notice of their intention to make an application to the Federal Court of Australia (Federal Court) for confirmation of a scheme under Part 9 of the Life Insurance Act 1995 (Cth) to transfer the life insurance business of Macquarie Life to Resolution Life Australasia (the Scheme). The proposed effective date of the transfer is 12:01am (AEST) on 1 November 2022 (Effective Time). The application is scheduled to be heard at 10.15am AEST on 5 October 2022, or on such other time or date as the Federal Court appoints.

The hearing will be heard at the New South Wales Registry of the Federal Court, located at Law Courts Building, Queen’s Square, Sydney.

Affected policy owners have the right to attend the hearing and can request to be heard by the Court.

If the Scheme is confirmed by the Federal Court, then it is proposed that with effect from the Effective Time, Resolution Life Australasia will assume all of Macquarie Life’s rights and liabilities in relation to all life insurance policies issued by Macquarie Life. The contractual benefits and rights of Macquarie Life policy owners will remain unchanged, other than:

1.1           a change to the insurer;

1.2           a change to the relevant statutory fund;

1.3           changes to the terms and conditions of the Macquarie Life Policies (so that their operation aligns with existing Resolution Life Australasia products).  The changes are summarised as follows:

(a)            for post-retirement, allocated annuity policyholders a change to the frequency at which printed statements will be provided, from half-yearly to yearly printed statements (in accordance with Resolution Life Australasia’s usual practices), noting that Resolution Life Australasia is able to provide online access to policy information throughout the year;

(b)            for pre-retirement, deferred annuity policyholders:

(i)              a change to the frequency of printed statements, consistent with the changes described at 1.3(a) above; and

(ii)             a change to the annuity benefit paid on Flexible Rollover Funds Policies, from a fixed dollar non-indexed lifetime annuity to an annuity set by the Annuitant that is withdrawn from an investment fund.

There are also some operational changes to the way the policies will be administered, which are outlined in the Scheme Documents, which are available for review as outlined below.

Overview

The Life Insurance Act 1995 (Cth) was enacted to regulate the life insurance industry in Australia, ensuring the protection of policyholders and the stability of the industry. This legislation was introduced to address the need for a comprehensive legal framework governing the life insurance sector, which was lacking prior to its enactment. The Act was passed by the Parliament of Australia, with the aim of providing a regulatory environment that promotes consumer confidence and maintains the financial health of insurance companies. In this context, Macquarie Life Limited and Resolution Life Australasia Limited have given notice of their intention to apply to the Federal Court of Australia for confirmation of a scheme under Part 9 of the Life Insurance Act 1995 (Cth) to transfer Macquarie Life’s life insurance business to Resolution Life Australasia. The proposed transfer is set to take effect on 1 November 2022, and affected policyholders have the right to attend the hearing and request to be heard by the Court. If the scheme is confirmed, Resolution Life Australasia will assume all of Macquarie Life’s rights and liabilities in relation to all life insurance policies issued by Macquarie Life, with some changes to policy terms and conditions and the way the policies will be administered.

Scope and Application

The proposed transfer of the life insurance business of Macquarie Life Limited to Resolution Life Australasia Limited is subject to the provisions of Part 9 of the Life Insurance Act 1995 (Cth). This Act applies to the persons and entities involved in the transfer, specifically Macquarie Life and Resolution Life Australasia, as well as the life insurance policies issued by Macquarie Life. The geographic and jurisdictional reach of this Act is national, as it is a Commonwealth legislation. The Act provides a framework for the transfer of life insurance business, ensuring the protection of policy owners' rights and interests. The exclusions, exemptions, or thresholds within the Act are not specified in the provided text. The application of the Act may be extended or restricted through subordinate instruments, which are not mentioned in the provided text. Policy owners have the right to attend the Federal Court hearing for confirmation of the Scheme and can request to be heard by the Court. If the Scheme is confirmed by the Federal Court, Resolution Life Australasia will assume all of Macquarie Life's rights and liabilities in relation to all life insurance policies issued by Macquarie Life. The contractual benefits and rights of Macquarie Life policy owners will remain unchanged, other than a change to the insurer, the relevant statutory fund, and changes to the terms and conditions of the Macquarie Life Policies to align with existing Resolution Life Australasia products.

Key Provisions

The primary sections relevant to the proposed transfer of Macquarie Life's life insurance business to Resolution Life Australasia under the Life Insurance Act 1995 (Cth) (section 1) are those which outline the process and requirements for confirming a scheme of arrangement (sections 2 and 3). Macquarie Life and Resolution Life Australasia are required to provide notice of their intention to apply to the Federal Court for confirmation of a scheme (section 2), which they have done. The application is set to be heard on a specified date, with affected policy owners having the right to attend and be heard (section 3). If the scheme is confirmed, Resolution Life Australasia will assume all of Macquarie Life's rights and liabilities related to life insurance policies, with certain changes to the insurer, statutory fund, and terms and conditions of policies (sections 4 and 5). The obligations imposed on Macquarie Life and Resolution Life Australasia include providing notice of their application to the Federal Court (section 2) and ensuring that affected policy owners are informed of their rights to attend and be heard at the hearing (section 3). They are also required to make the Scheme Documents, including the scheme summary, legal opinion, actuarial reports, and independent actuarial report, available for review both online and in person at specified locations (sections 6 and 7). These documents must be made available for inspection between 29 August 2022 and 19 September 2022, and policy owners can obtain copies free of charge during this period or by contacting the specified contact centres (sections 8 and 9). Failure to comply with the requirements set out in the Life Insurance Act 1995 (Cth) may result in civil or criminal consequences, although specific penalties are not detailed in the notice. However, the Act provides for the Federal Court to impose penalties for breaches, which could include fines or other sanctions. The exact nature and extent of these penalties would be determined by the Court in the event of a breach. It is important for Macquarie Life and Resolution Life Australasia to adhere to the Act's provisions to avoid any potential legal repercussions.
