Notice of Revocation under Subsection 18(3) and Approval under Subsection 14(1)

I, MATHIAS CORMANN, Acting Assistant Treasurer:

                 under subsection 18(3) of the Financial Sector (Shareholdings) Act 1998 (the Act), revoke the approvals previously granted on 29 September 2009 to Wesfarmers Limited, Wesfarmers Insurance Pty Ltd (WIPL) and Lumley Insurance Group Limited; and

                 being satisfied that it is in the national interest, under subsection 14(1) of the Act, approve Insurance Australia Group Limited (IAG) and each company specified in Column A of the Schedule, to hold a stake of up to 100 per cent in the financial sector companies specified in Column B of the Schedule.

The revocation and the approval come into force on the date that IAG acquires 100 per cent of the shares in WIPL and remain in force indefinitely.

Overview

The Financial Sector (Shareholdings) Act 1998 was enacted to address the need for regulating significant shareholdings in the Australian financial sector, ensuring that such holdings do not compromise the stability and integrity of the financial system. This Act empowers the Australian government to control and monitor the ownership and control of financial institutions, thereby maintaining the national financial system's robustness. The policy objective of the Act is to prevent any single entity or group from gaining excessive control over financial institutions, which could potentially lead to undue influence and risk to the financial sector. The Act was enacted by the Parliament of Australia, reflecting the legislature's intent to safeguard the financial system through stringent shareholding regulations. In a recent development, the Acting Assistant Treasurer has exercised the powers under the Act to revoke the previously granted approvals to Wesfarmers Limited, Wesfarmers Insurance Pty Ltd, and Lumley Insurance Group Limited. Simultaneously, the Acting Assistant Treasurer has approved Insurance Australia Group Limited and its associated entities to hold a stake of up to 100 per cent in specified financial sector companies. Scope and Application

The Financial Sector (Shareholdings) Act 1998 is a Commonwealth Act that regulates the ownership of financial sector companies, including banks, credit unions, insurers, and financial product issuers. The Act applies to both Australian and foreign entities that hold a qualifying interest in a financial sector company, and it aims to protect the stability and integrity of Australia's financial system. The Act's jurisdiction is national, applying to all entities involved in financial sector transactions within Australia. Certain exclusions and exemptions apply, such as to the Commonwealth or a state or territory government, and the Act can be extended or restricted through subordinate instruments, such as regulations and determinations.
