Overview

The Gazette Notice C2016G01239, dated 13 September 2016, pertains to the Banking Act 1959 and was enacted to address the formal notification and legal recognition of a name change of an authorised deposit-taking institution. The Act was introduced by the Australian Parliament to regulate banking and financial institutions and ensure their stability and integrity. The notice was issued by Keith Chapman, acting on behalf of the Australian Prudential Regulation Authority (APRA), a delegate of the Commonwealth of Australia. The policy objective of the notice was to ensure that the change of name from SGE Mutual Limited to G&C Mutual Bank Limited was officially recognised and that the new entity's authority remained unaffected by this change. The notice indicates that Keith Chapman, under the authority granted by the Banking Act 1959, was satisfied that the institution had fulfilled the necessary requirements for a name change. Consequently, the authorisation previously held by SGE Mutual Limited was transferred to G&C Mutual Bank Limited, ensuring continuity and legal compliance. This notification was essential to maintain the institution's status and operations under the Act without any regulatory disruptions.

Scope and Application

The C2016G01239 Notice under the Banking Act 1959 applies to SGE Mutual Limited, an authorised deposit-taking institution, which has undergone a name change to G&C Mutual Bank Limited. This notice, issued by a delegate of the Australian Prudential Regulation Authority (APRA), confirms the transition of the institution's authority under the Act to its new name. The notice is intended to ensure that the legal status and regulatory permissions of the institution remain uninterrupted despite the change in its name. The Act applies to financial institutions authorised to take deposits, and the geographic reach of this legislation is nationwide, given that APRA is a Commonwealth body. The notice does not specify any exclusions or thresholds for its application, but it is clear that the change in name must be formally recognised to maintain compliance with the Act. Any further details or conditions pertaining to the name change may be governed by subordinate instruments or specific provisions within the Banking Act 1959.

Key Provisions

The Notice of Name Change of Authorised Deposit-taking Institution, published in the Gazette, details the change in name of SGE Mutual Limited to G&C Mutual Bank Limited. Under section 9B(1)(b) of the Banking Act 1959, Keith Chapman, as a delegate of the Australian Prudential Regulation Authority (APRA), has verified that the institution, previously operating under an authority granted under section 9 of the Act, is now legally recognised under its new name. The Authority is deemed to be effective as if it had been granted to G&C Mutual Bank Limited, as stipulated in subsection 9B(3) of the Act, following the publication of this Notice. The primary operative sections of the Notice are section 9B(1)(b) and section 9B(3) of the Banking Act 1959. Section 9B(1)(b) allows a delegate of APRA to be satisfied that an authorised deposit-taking institution has changed its name, while section 9B(3) ensures that the Authority granted to the institution remains in effect after the name change. This means that G&C Mutual Bank Limited will continue to operate under the same regulatory framework and permissions as SGE Mutual Limited did, with no need for additional authorisation or regulatory approval for the name change itself. The obligations and requirements imposed by the Act on the parties involved include the necessity for APRA to be notified and to verify the name change. This verification process ensures that the institution continues to meet the regulatory standards set by the Act. Additionally, the institution must ensure that all public-facing materials, regulatory filings, and other official documents are updated to reflect the new name. This includes updating its Australian Business Number (ABN) records and any related legal documents to align with the new name. Failure to comply with the provisions of the Act could result in regulatory scrutiny or penalties. While the Notice itself does not specify detailed penalties, the Banking Act 1959 does outline various offences and penalties for breaches. For instance, unauthorised changes to the name or operations of an authorised deposit-taking institution could lead to fines, legal action, or even the revocation of the institution’s Authority. The maximum penalties for such breaches can be severe, reflecting the importance of maintaining the integrity and stability of the financial system as mandated by the Act.
