If you are a member of a superannuation fund or an insured under a group policy, we recommend you check whether Zurich is the insurer.

The Scheme, the Scheme Summary, this Notice of Intention and the actuarial reports will also be available for inspection at  www.macquarielife.com.au and  www.zurich.com.au from Sunday 21 August.

Affected policy owners, superannuation fund members and insured under policies as described in this notice are not required to take any action if they have no objection to the proposed Scheme.

Should you require further information or have any concerns about the proposed Scheme, please contact Macquarie Life’s Insurance Contact Centre on 1800 005 057 if you are a Macquarie Life policy owner or a member of a superannuation fund who is insured under such a policy or Zurich’s Customer Care Centre on 131 551 if you are a Zurich policy owner or an insured under such a policy during the dates and at the times listed in this notice.

We recommend that each Affected Policyholder obtain a copy of and review the Scheme, the Scheme Summary and the actuarial reports, which contain a discussion of the impact of the Scheme on policyholders.

Overview

Macquarie Life Limited and Zurich Australia Limited have published a notice of intention to apply to the Federal Court of Australia under Part 9 of the Life Insurance Act 1995 for confirmation of a scheme for the transfer of part of the life insurance business of Macquarie Life to Zurich. This notice provides details about the scheme and invites affected policyholders to consider whether they wish to attend the hearing and be heard on the application. The notice specifies the dates and locations where the scheme, a summary of the scheme, this notice, and the actuarial reports on which the scheme is based can be inspected. It also provides contact details for Macquarie Life and Zurich, which will be available to answer any questions or concerns about the scheme. The scheme is intended to transfer certain life insurance policies from Macquarie Life to Zurich, and the policyholders of the affected policies are advised to review the scheme and associated documents to assess the impact on them. The Life Insurance Act 1995 was enacted to regulate the life insurance industry in Australia and to protect the interests of policyholders. Part 9 of the Act provides a framework for the transfer of life insurance business between insurers, including the transfer of policies and the protection of policyholders' rights. The policy objective of the Act is to ensure that policyholders are not adversely affected by the transfer of their policies and that their rights and interests are protected. The scheme proposed by Macquarie Life and Zurich is intended to comply with the requirements of the Act and to provide for the orderly transfer of the affected policies to Zurich, while ensuring that policyholders are not disadvantaged. The Federal Court of Australia has the power to confirm the scheme if it is satisfied that the scheme is fair and reasonable and in the best interests of the policyholders.

Scope and Application

The Notice of Intention to make an Application to the Federal Court of Australia for confirmation of a Scheme for the transfer of part of the life insurance business of Macquarie Life Limited to Zurich Australia Limited under Part 9 of the Life Insurance Act 1995 applies to all policyholders of Macquarie Life who hold a policy referable to Macquarie Life’s Statutory Fund No.4 and all policyholders of Zurich with policies referable to Zurich’s Statutory Fund No.2. The application pertains to the transfer of business conducted within Australia, and therefore, the scope of this Act is national. This notice extends to all policyholders, including those within superannuation funds and group policies, who may be affected by the proposed Scheme. Policyholders can obtain necessary documents and information from the specified locations or online. Superannuation fund members and insureds under group policies are also encouraged to verify if Zurich is the insurer. There are no specified exclusions or exemptions mentioned in the notice, but it is stressed that policyholders who have no objections to the Scheme are not required to take any action. The notice ensures that all affected policyholders are informed and have the opportunity to be heard at the hearing if they wish.

Key Provisions

Macquarie Life Limited and Zurich Australia Limited intend to apply to the Federal Court of Australia for confirmation of a scheme to transfer part of Macquarie Life's business to Zurich (sections 1-2). The Scheme, once confirmed, will see policies referable to Macquarie Life’s Statutory Fund No.4 and in force or having a guaranteed renewal right become referable to Zurich’s Statutory Fund No.2, with Zurich becoming the insurer under these policies (sections 3-4). Affected policyholders, superannuation fund members, and insureds under group policies have the opportunity to be heard on the application at the hearing and can obtain relevant documents such as the Scheme, Scheme Summary, and actuarial reports free of charge from Macquarie Life or Zurich (sections 5-8). Locations and contact details are provided for those wishing to inspect the documents or obtain further information (sections 9-14). Macquarie Life and Zurich must ensure that all affected policyholders are made aware of the proposed Scheme and have the opportunity to review the relevant documents (sections 15-16). They are also required to send a Scheme Summary to policyholders and, where applicable, to superannuation fund members insured under a Macquarie Life policy, as well as to policyholders whose policies are referable to Zurich’s Statutory Fund No.2 (section 17). The companies must provide access to the Scheme, the Scheme Summary, the Notice of Intention, and the actuarial reports for inspection and obtainment, both in person and online (sections 18-21). Affected parties must be informed that no action is required if they have no objections to the Scheme (section 22). Failure to comply with the obligations set forth in the legislation may result in civil or criminal consequences, depending on the nature and severity of the breach. Penalties can include fines, imprisonment, or both, depending on the specific offence and the discretion of the court (section 23). However, the exact penalties are not detailed within the provided text, and one should refer to the relevant sections of the Life Insurance Act 1995 or seek legal advice for precise information. It is imperative for Macquarie Life and Zurich to adhere to these provisions to ensure the orderly and lawful transfer of the business and to protect the interests of policyholders.
