Overview

The notice of intention to apply for confirmation of a scheme under the Insurance Act 1973 (Cth) for the transfer of the Australian branch of HSB Engineering Insurance Limited's insurance business to Gordian RunOff Ltd aims to inform policyholders of the impending transfer of their business. Enacted by the Commonwealth of Australia Parliament, the Act seeks to address gaps in the regulation of insurance companies, ensuring a fair and orderly transfer of business and protecting the rights of policyholders. The policy objective of the Act is to provide a mechanism for the orderly transfer of an insurer's business, including its rights and obligations, to another insurer, while ensuring that policyholders are not adversely affected by such a transfer.

Scope and Application

The Insurance Act 1973 (Cth) applies to entities involved in the insurance industry within Australia, particularly to those looking to transfer their insurance business, such as HSB Engineering Insurance Limited in this case. The Act governs the transfer of insurance business and assets between entities and is enforced through the Federal Court of Australia. The legislation ensures that policyholders are informed and can be heard during the transfer process. The notice of intention to apply for confirmation of the scheme specifies that the transfer involves the Australian branch of HSB Engineering Insurance Limited and its subsidiary Gordian RunOff Ltd. The application for confirmation is made to the Federal Court of Australia in Sydney, indicating the national jurisdiction of the Act. There are no stated exclusions or exemptions in the notice, though the specific terms of the Scheme and the Act may include certain conditions or thresholds. The application of the Act may be extended or restricted through subordinate instruments, but these are not detailed in the notice.

Key Provisions

The key provisions of the notice under C2020G00428 (Gazette) involve the transfer of the Australian branch of HSB Engineering Insurance Limited’s (HSB) insurance business and assets to Gordian RunOff Ltd (Gordian). This transfer is proposed under Division 3A of Part III of the Insurance Act 1973 (Cth) and requires confirmation by the Federal Court of Australia. Specifically, section 1 of the notice states that HSB intends to apply for orders confirming the scheme of arrangement (the Scheme) which will allow for the transfer of its Australian general insurance business to Gordian. HSB will make this application to the Federal Court of Australia on 26 June 2020 or a later date as appointed by the Court (section 1). Section 2 of the notice details the rights of Affected Policyholders, including the right to obtain a free copy of the Scheme and to attend the Court hearing to be heard on the application for confirmation of the Scheme. Affected Policyholders can choose to attend the hearing in person, via Microsoft Teams, or by dial-in, though the latter option does not allow for making submissions to the Court (section 2). The obligations imposed by the Act on the parties involved are primarily administrative and informational. HSB, as the entity proposing the transfer, must provide clear and accessible information to Affected Policyholders about the Scheme. This includes making the Scheme and related documents available for review and ensuring Affected Policyholders understand their rights and options regarding the confirmation process. HSB must also facilitate the process by which Affected Policyholders can attend the Court hearing, whether in person, via Microsoft Teams, or by dial-in, and must endeavour to respond to any queries from Affected Policyholders in a timely manner (section 3). Gordian, as the receiving entity, must be prepared to assume the transferred business and assets upon the Court’s confirmation of the Scheme. There are no explicit offences or penalties mentioned in the notice for breaches of the Scheme or the Act. However, any failure by HSB to comply with its obligations to inform and provide access to Affected Policyholders could potentially lead to legal challenges or claims for damages by those Affected Policyholders. The notice does not specify any maximum penalties for non-compliance but implies that Affected Policyholders have the right to seek redress if their rights under the Scheme are not properly respected. Additionally, the Court retains the authority to impose any necessary orders or directions to ensure the proper administration of the Scheme and the rights of all parties involved.
