Dated: 16 April 2014

Overview

The Insurance Act 1973 (Cth) was enacted to regulate the insurance industry in Australia, ensuring that insurance providers meet certain standards and that consumers are protected. The Act provides a framework for the authorisation and regulation of insurance companies and agents, and includes provisions for the supervision and enforcement of the Act. This Act was introduced to address the need for a comprehensive legislative framework to govern the insurance industry in Australia, ensuring that insurance providers operate in a fair and transparent manner and that consumers are protected. The Act was enacted by the Commonwealth Parliament and the policy objective was to provide a regulatory framework that promotes the stability and efficiency of the insurance industry while protecting the interests of policyholders.

Scope and Application

This notice pertains to AXA Insurance Australia Limited's intention to apply to the Federal Court of Australia for confirmation of a scheme to transfer its insurance business to AXA Corporate Solutions Assurance under Division 3A of Part III of the Insurance Act 1973 (Cth). The notice is directed towards policyholders who may be affected by this scheme, offering them the opportunity to attend the court hearing and request to be heard on the application. The scheme primarily applies to AXA Insurance Australia Limited and AXA Corporate Solutions Assurance, both authorised to carry on general insurance business in Australia. Policyholders who are insured under contracts written or assumed by AXA or those who may be otherwise affected by the scheme can participate in the court process, while others are not required to take action unless they have objections. The notice specifies the availability of the scheme documents for public inspection and provides contact details for further inquiries. The scope of the legislation extends to the transfer of insurance business conducted by AXA and Corporate Solutions, which are authorised entities under the Insurance Act 1973 (Cth). The application for confirmation of the scheme will be made to the Federal Court of Australia, indicating the national jurisdictional reach of the act in this context. The scheme documents, including the notice, the scheme itself, a summary, and the actuarial report, are made available for inspection at various PricewaterhouseCoopers offices and other specified locations across Australia. This ensures transparency and accessibility for all potentially affected parties, facilitating informed participation in the court process. The act does not explicitly mention any exclusions, exemptions, or thresholds within the scope of this notice, but the process is designed to ensure that all relevant parties are given the opportunity to be heard.

Key Provisions

The notice under the C2014G00725 gazette informs that AXA Insurance Australia Limited intends to apply to the Federal Court for confirmation of a scheme to transfer its insurance business to AXA Corporate Solutions Assurance ((section 1)). This notice must be given under Division 3A of Part III of the Insurance Act 1973 (Cth). The application will be made on 18 June 2014, but this date can be changed by the Court ((section 1)). The transfer will affect any insurance contracts or reinsurance contracts held by AXA, and policyholders may attend the hearing and request to be heard by the Court ((section 1)). The obligations imposed by the Act require AXA to provide a detailed notice of the proposed transfer, which includes the date and location of the Court hearing and the contact details for policyholders to make representations ((section 2)). AXA must ensure that the Scheme Documents are available for public inspection, including a copy of the Scheme, a summary of the Scheme, and an actuarial report ((section 3)). Policyholders who wish to appear before the Court must notify AXA's solicitor at least seven days before the hearing date ((section 4)). AXA must also provide a website where policyholders can access the Scheme Documents ((section 5)). The notice indicates that there are no specific penalties or consequences for AXA or policyholders if the Scheme is confirmed by the Court. However, if policyholders believe that the transfer may adversely affect their interests, they are encouraged to attend the hearing and make representations to the Court ((section 6)). The primary consequence for policyholders is the transfer of their insurance contracts from AXA to Corporate Solutions, as outlined in the Scheme Documents ((section 7)). Non-compliance with the notice or the Scheme could potentially lead to legal challenges, but these are not detailed in the notice itself ((section 8)).
