THIS NOTICE HAS BEEN PREPARED BY TRAVELERS INSURANCE COMPANY LIMITED

Dated: 23 July 2013.

Overview

The Insurance Act 1973 (Cth) was enacted to establish a regulatory framework governing the insurance industry in Australia, ensuring consumer protection and financial stability within the sector. The Act was introduced to address the need for a comprehensive legislative approach to the insurance market, aiming to maintain the balance between fostering a competitive market and safeguarding the interests of policyholders. Enacted by the Commonwealth Parliament, the Act provides the legal basis for the regulation of insurance activities, including the oversight of insurance companies and the implementation of mechanisms for resolving disputes and managing insurance run-off operations. The policy objective of the Act is to promote an efficient, fair, and transparent insurance market that protects consumers while enabling the growth and stability of the insurance industry.

Scope and Application

The notice pertains to Travelers Insurance Company Limited, a UK-incorporated entity operating as a branch insurer in Australia under the Insurance Act 1973 (Cth), and its intention to transfer its Australian insurance business to Gordon RunOff Limited, an Australian company authorised to conduct general insurance run-off business. The application for the confirmation of this scheme will be made to the Federal Court of Australia, specifically the New South Wales Registry, and is open for attendance and input from any affected policyholders. The scheme applies to policyholders who hold policies with Travelers in Australia and who may be impacted by the terms of the proposed transfer. The geographic scope of this legislation is limited to Australia, with the hearing and scheme documents being accessible in various offices and online, reflecting a national reach within the Commonwealth. The application for scheme confirmation under Division 3A of Part III of the Insurance Act 1973 (Cth) does not specify any exclusions or exemptions but mandates public notice and access to the scheme documents, ensuring transparency and the opportunity for affected parties to engage in the process. The Act's application may be extended or further defined through subordinate instruments, although such details are not elaborated in the notice. The scheme's impact on policyholders is assessed through an actuarial report, and policyholders are encouraged to review the scheme and the report before the hearing.

Key Provisions

The notice of intention to apply to the Federal Court for confirmation of the transfer of Travelers Insurance Company Limited's business to Gordon RunOff Limited under Division 3A of Part III of the Insurance Act 1973 (Cth) (section 2) informs the public that Travelers intends to apply to the Federal Court for the confirmation of a scheme to transfer its Australian insurance business to Gordon RunOff Limited. This scheme will detail how the insurance business, written or assumed by Travelers in Australia, will be transferred to Gordon RunOff Limited. The application will be made in Sydney on 28 August 2013 at 10:15am, or as the Court directs. The notice specifies that both Travelers and Gordon RunOff Limited are authorized under the Insurance Act 1973 (Cth) to carry on general insurance run-off business in Australia, with Travelers being a UK-incorporated branch insurer and Gordon RunOff Limited being an Australian corporation. The obligations imposed by the Act on Travelers and Gordon RunOff Limited include ensuring that Affected Policyholders are informed about the scheme and have the opportunity to attend the Court hearing to voice any concerns they might have. Section 3 of the notice provides a clear pathway for Affected Policyholders to request to be heard by the Court if they wish to do so. The notice also mandates that a copy of the notice, the Scheme, a Summary of the Scheme, and the Actuarial Report will be available for public inspection at specified locations and online during a defined period. This ensures transparency and allows policyholders to review the implications of the scheme before it is confirmed by the Court. Section 4 of the notice outlines the potential consequences of breaching the Act's provisions. While the notice does not specify penalties for non-compliance, it is clear that any breach of the requirements to inform and allow Affected Policyholders to be heard could lead to legal repercussions. The Act itself provides a framework for such consequences, which may include fines and other sanctions, though the exact penalties would be determined in the context of any legal proceedings. It is also implied that failure to comply with the transparency obligations could result in the Court rejecting the scheme, which would prevent the intended transfer of business from proceeding.
