Governance Review Implementation (Science Research Agencies) Act 2007

Proclamation

Subsection 2 (1) of the Governance Review Implementation (Science Research Agencies) Act 2007 (the Act) provides that Schedules 1, 2, and 3 to the Act commence on a day to be fixed by Proclamation.  However, if any of the provisions of Schedules 1, 2, and 3 do not commence within six months of the date the Act receives the Royal Assent, then those provisions commence on the first day after the end of that six month period.  The Act received Royal Assent on 21 June 2007.

The purpose of the Proclamation was to fix 10 September 2007 as the day on which Schedules 1, 2 and 3 to the Act commenced.

The Act amends the law relating to statutory agencies in the field of science research and for related purposes. It seeks to improve the corporate governance of three statutory authorities in the Education, Science and Training portfolio- the Australian Institute of Marine Science (AIMS), the Australian Nuclear Science and Technology Organisation (ANSTO) and the Commonwealth Scientific and Industrial Research Organisation (CSIRO).

Schedules 1, 2 and 3 to the Act provide the framework for amendments to the governance arrangements of AIMS, ANSTO and CSIRO, respectively.

The Proclamation is a legislative instrument for the purposes of the Legislative Instruments Act 2003.

Consultation

The Department of Education, Science and Training consulted with AIMS, ANSTO and CSIRO as to the appropriate date for the proclamation to commence.  The agencies advised the Department that 10 September 2007 was the appropriate date as this would allow the agencies sufficient time to revise their corporate governance to conform to the requirements of the relevant Schedule to the Act.

Commencement

Provides that the Proclamation commences on the day after it is registered on the Federal Register of Legislative Instruments.

Overview

The Governance Review Implementation (Science Research Agencies) Act 2007, enacted by the Australian Parliament, was introduced to address the need for improved corporate governance within three key statutory agencies in the science research sector: the Australian Institute of Marine Science (AIMS), the Australian Nuclear Science and Technology Organisation (ANSTO), and the Commonwealth Scientific and Industrial Research Organisation (CSIRO). This Act aimed to enhance the governance frameworks of these agencies, thereby ensuring they operate more effectively and transparently. The Minister for Education, Science and Training issued a Proclamation under the Act to set the commencement date for the legislative changes outlined in Schedules 1, 2, and 3. After receiving Royal Assent on 21 June 2007, the Act was proclaimed to commence on 10 September 2007, providing the agencies with a reasonable transition period to implement the new governance requirements. The Proclamation, which is a legislative instrument under the Legislative Instruments Act 2003, was made following consultations with the affected agencies to ensure they had adequate time to adapt their corporate governance structures.

Scope and Application

The Governance Review Implementation (Science Research Agencies) Act 2007 applies to the Australian Institute of Marine Science (AIMS), the Australian Nuclear Science and Technology Organisation (ANSTO), and the Commonwealth Scientific and Industrial Research Organisation (CSIRO), which are statutory authorities within the Education, Science and Training portfolio. The Act seeks to enhance the corporate governance of these entities by implementing changes as outlined in Schedules 1, 2, and 3 respectively, which detail the amendments to the governance arrangements of each agency. The scope of the Act is limited to these specific science research agencies and does not extend to other entities outside the Education, Science and Training portfolio. The jurisdictional reach of the Act is Commonwealth, as it is enacted under the authority of the Australian federal government. The Act provides for its provisions to commence either on a day fixed by proclamation or, if not fixed within six months of receiving Royal Assent, on the first day after the end of that six-month period. Subordinate instruments may be used to extend or restrict the application of the Act, though specific details regarding such instruments are not provided in the explanatory statement.

Key Provisions

The Governance Review Implementation (Science Research Agencies) Act 2007 (the Act) primarily focuses on improving the corporate governance of three statutory authorities: the Australian Institute of Marine Science (AIMS), the Australian Nuclear Science and Technology Organisation (ANSTO) and the Commonwealth Scientific and Industrial Research Organisation (CSIRO). The Act provides the legislative framework through which the governance of these organisations is to be amended and improved, as detailed in Schedules 1, 2, and 3 of the Act. The key sections of the Act include the Proclamation (subsection 2(1)) which fixes the commencement date for the amendments and Schedules 1 to 3 which outline the specific governance changes for AIMS, ANSTO, and CSIRO respectively. The Act imposes obligations on AIMS, ANSTO, and CSIRO to align their corporate governance arrangements with the new legislative framework. This includes ensuring that their governance structures, policies, and practices meet the standards and requirements outlined in the respective schedules. The Act requires these agencies to revise their governance frameworks to reflect the changes stipulated in the Act, ensuring that they adhere to improved governance practices. The amendments are designed to enhance the efficiency, effectiveness, and accountability of these statutory authorities, thereby better serving the public interest in the field of science research. In terms of consequences for non-compliance, the Act does not explicitly outline specific offences, penalties, or civil/criminal consequences for breach within the provided text. However, given the nature of the Act, non-compliance with the mandated governance changes could potentially lead to scrutiny from regulatory bodies and may result in legal actions being taken against the agencies for failing to meet their statutory obligations. The penalties for such breaches would depend on the specific nature of the non-compliance and the subsequent legal proceedings. The Act's focus on improving governance suggests that any breaches could lead to significant reputational and operational repercussions for the agencies involved.
