Overview

The Consent to sale or disposal of business of an ADI 2026 – Australian Mutual Bank Ltd is an instrument enacted under the Banking Act 1959, which addresses the specific scenario where an authorised deposit-taking institution (ADI) proposes to sell or dispose of its business to another ADI. The legislation was enacted to ensure that any such sale or disposal is conducted in a manner that is consistent with the national interest and regulatory oversight. This Act was introduced by Declan Latimer, a delegate of the Treasurer, who has taken into account the national interest in granting consent to the arrangement between Australian Mutual Bank Ltd and Teachers Mutual Bank Limited. The consent pertains to a voluntary total transfer of business as described in the Financial Sector (Transfer and Restructure) Act 1999. The policy objective is to facilitate orderly and secure transfers of business within the banking sector, ensuring that any such transactions are in the best interest of the nation's financial stability and regulatory compliance.

Scope and Application

The Consent to sale or disposal of business of an ADI 2026 applies specifically to Australian Mutual Bank Ltd (the ADI), a non-foreign authorised deposit-taking institution (ADI) as defined under the Banking Act 1959. The Act mandates the consent of the Treasurer, or their delegate, for any arrangement or agreement related to the sale or disposal of the ADI's business to another ADI, in this instance Teachers Mutual Bank Limited. This requirement is contingent on the Treasurer considering the national interest. The jurisdictional reach of this legislation is national, aligning with the overarching framework established by the Commonwealth through the Banking Act 1959. The Act does not explicitly state exclusions or thresholds but implies that all arrangements for the sale or disposal of business by a non-foreign ADI fall under its purview unless otherwise specified. Additionally, the application of the Act may be extended or restricted through subordinate instruments, though this particular instrument does not elaborate on such provisions.

Key Provisions

The Consent to Sale or Disposal of Business of an ADI 2026 (Gazette) primarily concerns the authorisation of a specific arrangement or agreement between two authorised deposit-taking institutions (ADIs) in Australia, in this case, Australian Mutual Bank Ltd and Teachers Mutual Bank Limited. Section 63(1) of the Banking Act 1959 provides the legal basis for the consent granted to the arrangement or agreement, as outlined in the schedule. The consent is issued by Declan Latimer, a delegate of the Treasurer, who has taken into consideration the national interest in issuing this consent. Under this legislation, the main parties involved are the two ADIs: Australian Mutual Bank Ltd, and Teachers Mutual Bank Limited. The Act imposes the requirement on these entities to seek and obtain consent from the Treasurer or the Treasurer’s delegate before entering into the specified arrangement or agreement for the sale or disposal of business. In this case, the consent has been granted for a voluntary total transfer of business, as outlined in the Financial Sector (Transfer and Restructure) Act 1999. The Consent to Sale or Disposal of Business of an ADI 2026 (Gazette) also outlines the obligations and requirements for the involved parties. Both Australian Mutual Bank Ltd and Teachers Mutual Bank Limited must adhere to the conditions specified in the schedule for the arrangement or agreement. This includes ensuring that the sale or disposal of business complies with the relevant provisions of the Financial Sector (Transfer and Restructure) Act 1999, as well as any other applicable legislation. In the event of non-compliance with the requirements outlined in the Consent to Sale or Disposal of Business of an ADI 2026 (Gazette), the involved parties may face potential consequences. The Banking Act 1959 and the Financial Sector (Transfer and Restructure) Act 1999 provide for various civil and criminal penalties for breach of their provisions. The exact penalties for breach depend on the specific circumstances and the severity of the breach, but may include fines, imprisonment, or both. It is important for the involved parties to fully understand and comply with the requirements set out in the legislation to avoid any potential consequences.
