Overview
Statutory Rule No. 104 of 1925 was enacted under the Commonwealth Bank Act 1911-1924, addressing the need for specific amendments to the Commonwealth Bank Regulations. This regulation, issued by the Governor-General in Council, sought to modify the election process for representatives within the Commonwealth Bank. The enactment aimed to ensure that the first election held after the regulation's commencement would adhere to the stipulated timelines and procedures, enhancing the operational efficiency and governance structure of the bank. The regulation specifically introduced changes to the nomination and election dates, ensuring that nominations were called by a specific deadline and the election was conducted through a secret ballot on the first working day of September 1925.
Scope and Application
The Commonwealth Bank Regulations, amended by Statutory Rules 1925 No. 104, apply to the operations and governance of the Commonwealth Bank of Australia, impacting its directors, employees, and the overall management structure. This legislative instrument specifically modifies Regulation 15 concerning the election process for representatives within the bank. The regulation mandates that nominations for the first election post the regulation's commencement must be called by the Chairman of Directors by 1 July 1925 and returned to Head Office by 1 August 1925. Additionally, it stipulates that nominations are to be notified to various branches, with an election by secret ballot to occur on the first working day of September 1925. The tenure of the elected representative is set from the election date until the subsequent election in 1926. These regulations govern the Commonwealth Bank's internal electoral processes and are applicable nationwide, extending the Commonwealth Bank Act's provisions to ensure a structured and fair election procedure within the institution.
Key Provisions
The key operative sections of the Statutory Rules 1925, No. 104, which are regulations under the Commonwealth Bank Act 1911-1924, primarily concern the amendment of existing regulations regarding the election of representatives. Specifically, Regulation 15 is amended by adding sub-regulation (3a) which outlines the procedures for the first election to be held following the commencement of these regulations (15(3a)). This sub-regulation stipulates that nominations for the election must be called by the Chairman of Directors no later than 1 July 1925 and must be returned to Head Office by 1 August 1925. Furthermore, it mandates that these nominations be communicated to the various branches by the Chairman of Directors, and that the election, conducted by secret ballot, must take place on the first working day in September 1925. The tenure of the elected representative is set from the date of their election until the election of a new representative in 1926.
The obligations imposed by these regulations on the parties involved, primarily the Chairman of Directors and the various branches of the Commonwealth Bank, are quite specific. The Chairman of Directors must ensure that nominations are called and returned within the stipulated timeframes. They are also required to notify all branches of these nominations and to organise and conduct the election by secret ballot on the specified date. The various branches, in turn, must be prepared to participate in the election as per the Chairman's notification and instructions.
Failure to comply with the provisions of these regulations could result in various consequences. Although the document does not explicitly state penalties or sanctions for non-compliance, it is reasonable to infer that breaches of these procedural requirements could lead to invalid elections, potentially causing significant disruptions or governance issues within the bank. In a broader context, persistent non-compliance might lead to legal scrutiny or administrative penalties, depending on the interpretation and enforcement by relevant authorities under the Commonwealth Bank Act 1911-1924.
