Overview
The Australian Securities and Investments Commission (Financial Reporting Council) Appointment (No. 4) 2021I was enacted in 2021 to address a gap in the leadership of the Financial Reporting Council (FRC), a body that plays a crucial role in ensuring high-quality financial reporting in Australia. This legislation was introduced by the Australian government under the authority granted by subsection 235A(3) of the Australian Securities and Investments Commission Act 2001. The primary objective of this notifiable instrument was to appoint Lawrence Tremaine as the Chair of the FRC on a part-time basis, effective from 1 July 2021 to 31 December 2021. This appointment was made to ensure continuity and stability in the leadership of the FRC, especially given that Mr Tremaine’s current term was due to expire on 28 April 2022. The legislation also included the repeal of two previous appointments made in 2021, reflecting the transitional nature of this appointment.
Scope and Application
The Australian Securities and Investments Commission (Financial Reporting Council) Appointment (No. 4) 2021 is a notifiable instrument under subsection 235A(3) of the Australian Securities and Investments Commission Act 2001, which outlines the appointment of Lawrence Tremaine as Chair of the Financial Reporting Council on a part-time basis from 1 July 2021 to 31 December 2021. This instrument applies specifically to the appointment of Mr. Tremaine, who is a current member of the Financial Reporting Council with his existing term set to expire on 28 April 2022. The instrument also repeals two previous instruments, the Financial Reporting Council — Appointment of Chair (2021 Appointment No. 1) and the Financial Reporting Council – Appointment of Part-time Acting Chair – 2021, effective from 1 July 2021. This appointment is made by Michael Sukkar, who is the Assistant Treasurer and Minister for Housing, Minister for Homelessness, and Minister for Social and Community Housing. The instrument does not specify exclusions or thresholds but operates within the jurisdiction of the Commonwealth of Australia, impacting the operations and governance of the Financial Reporting Council.
Key Provisions
The main sections of the Australian Securities and Investments Commission (Financial Reporting Council) Appointment (No. 4) 2021I (subsection 235A(3) of the Act) involve the appointment of Lawrence Tremaine as Chair of the Financial Reporting Council (FRC) on a part-time basis for a specific period. This period extends from 1 July 2021 to 31 December 2021, and it is noted that Mr Tremaine is already a member of the FRC, with his current term set to expire on 28 April 2022. Additionally, this notifiable instrument repeals two previous appointments with effect from 1 July 2021, namely the Financial Reporting Council — Appointment of Chair (2021 Appointment No. 1) and the Financial Reporting Council – Appointment of Part-time Acting Chair – 2021.
The Act imposes several obligations on the FRC and its Chair. The FRC is responsible for overseeing the quality of financial reporting and auditing in Australia, ensuring that corporate entities comply with relevant standards and regulations. As Chair, Lawrence Tremaine would have to oversee the FRC’s activities, ensuring they align with legislative requirements and corporate governance principles. His role would involve making strategic decisions, setting the agenda for the FRC, and ensuring the FRC effectively carries out its statutory duties.
There are potential civil and criminal consequences for breaches of the provisions under the Australian Securities and Investments Commission Act 2001. While specific offences and penalties are not detailed within this notifiable instrument, the Act generally provides for fines and imprisonment for breaches. The maximum penalties for contraventions can vary depending on the specific offence, but they can include substantial fines for corporations and individuals, as well as imprisonment terms for serious or repeated violations. The Act also allows for civil penalties to be imposed, which can include pecuniary penalties for non-compliance with the Act’s requirements.
It is crucial for the FRC and its Chair to adhere strictly to the Act’s provisions, ensuring all activities are within the legal framework set by the Australian Securities and Investments Commission. Failure to comply with the statutory requirements could result in enforcement actions, which might include legal proceedings, fines, and other sanctions. The overarching aim is to maintain the integrity of financial reporting and auditing in Australia, ensuring public confidence in the financial system.
