Overview

The Australian Securities and Investments Commission (Financial Reporting Council) Appointment (No. 1) 2022I, enacted on 25 March 2022, was introduced to address the need for the appointment of a new member and Chair for the Financial Reporting Council (FRC), thereby ensuring continuity in leadership and governance within the FRC. This notifiable instrument was issued by Michael Sukkar, Assistant Treasurer, Minister for Housing, and Minister for Homelessness, Social and Community Housing, under the authority granted by subsections 235A(1), 235A(3), and 235AA(6) of the Australian Securities and Investments Commission Act 2001. The policy objective underpinning this legislation is to maintain effective oversight and regulation of financial reporting practices in Australia by appointing a suitable candidate, Andrew Mills, to serve as a part-time member and Chair of the FRC for a term of three years. This appointment is intended to uphold the integrity and efficiency of financial reporting standards in the country.

Scope and Application

The Australian Securities and Investments Commission (Financial Reporting Council) Appointment (No. 1) 2022 instrument pertains to the appointment of an individual, Andrew Mills, to the Financial Reporting Council (FRC) on a part-time basis, serving as a member and the Chair for a three-year term. This legislation applies directly to Andrew Mills, who is appointed to this role by virtue of the powers vested in the Assistant Treasurer and Ministers for Housing, Social and Community Housing, and Homelessness. The FRC, which is a body corporate, oversees and promotes high-quality financial reporting and auditing practices in Australia, making this appointment significant within the regulatory framework that governs financial markets and corporate governance. The instrument's jurisdictional reach is federal, operating under the Australian Securities and Investments Commission Act 2001, thus it applies nationally across Australia. There are no exclusions, exemptions, or thresholds specified within the instrument itself, though the broader operation of the FRC's functions and powers could be further defined or regulated through subordinate legislation or the FRC’s own rules and standards.

Key Provisions

The Australian Securities and Investments Commission (Financial Reporting Council) Appointment (No. 1) 2022 Instrument (F2022N00071) outlines the appointment of Andrew Mills to the Financial Reporting Council (FRC) as a member and Chair on a part-time basis for a period of three years. This appointment is made under subsections 235A(1), 235A(3) and 235AA(6) of the Australian Securities and Investments Commission Act 2001, and comes into effect the day after the instrument is registered on the Federal Register of Legislation. The instrument was dated 25 March 2022 and signed by Michael Sukkar, who holds the positions of Assistant Treasurer, Minister for Housing, and Minister for Homelessness, Social and Community Housing. The FRC plays a crucial role in overseeing the quality of financial reporting and auditing standards in Australia. The appointment of Andrew Mills, as specified in the instrument, mandates his responsibility as a member and Chair of the FRC. The part-time nature of this appointment means that Mills is expected to balance this role with other professional commitments, while still fulfilling the duties and responsibilities associated with his position on the FRC. The obligations imposed on Andrew Mills as a member and Chair of the FRC include ensuring the effective functioning of the council, promoting high-quality financial reporting and auditing standards, and contributing to the governance and oversight of the accounting profession in Australia. Mills is also expected to participate in FRC meetings, contribute to decision-making processes, and collaborate with other members to achieve the council's objectives. In addition, Mills is responsible for maintaining the confidentiality of sensitive information and adhering to the council's code of conduct. Failure to comply with the obligations and requirements of the FRC may result in various consequences, depending on the severity of the breach. While the specific penalties for breach are not outlined in the instrument, it is important to note that the Australian Securities and Investments Commission Act 2001 and other relevant legislation may impose civil or criminal penalties for non-compliance. These penalties could include fines, imprisonment, or both, depending on the nature and extent of the breach. It is essential for Andrew Mills, as well as other members of the FRC, to adhere to the obligations and requirements set forth in the legislation to avoid any potential legal or financial repercussions.
