This legislation, F2025N00737 (Notifiable instrument) by Daniel Mulino, Assistant Treasurer and Minister for Financial Services, pertains specifically to the appointments within the Companies Auditors Disciplinary Board (CADB) under the Australian Securities and Investments Commission Act 2001. Key Provisions
The Australian Securities and Investments Commission (Companies Auditors Disciplinary Board – Deputy Chairperson and Members) Appointments (No. 1) 2025I sets out the appointments of new members to the Companies Auditors Disciplinary Board. Specifically, section (a) of the legislation mandates the appointment of Inge Kindermann as the Deputy Chairperson of the Board, effective from 30 September 2025 to 29 September 2028, on a part-time basis. Similarly, section (b) of the legislation mandates the appointment of Tony Marks and Naomi Rule as business members of the Board, with Marks' term running from 30 September 2025 to 29 September 2028, and Rule's term from 1 October 2025 to 30 September 2028, both also on a part-time basis. All appointments are contingent on the Assistant Treasurer and Minister for Financial Services being satisfied that the individuals meet the eligibility criteria outlined in subsections 203(2) and 203(2A) of the Australian Securities and Investments Commission Act 2001.
The legislation imposes several obligations and requirements on the parties involved. The Assistant Treasurer and Minister for Financial Services must ensure that the appointees meet the eligibility criteria specified in the Act before proceeding with their appointments. This includes verifying that Inge Kindermann, Tony Marks, and Naomi Rule possess the necessary qualifications and experience to effectively carry out their roles within the Companies Auditors Disciplinary Board. Furthermore, the appointees themselves must adhere to any additional terms and conditions that may be specified in their appointment letters or any related agreements, ensuring they are capable of fulfilling their duties impartially and effectively.
In the event of a breach of the terms and conditions of the appointments, or any related obligations under the Australian Securities and Investments Commission Act 2001, there are potential civil and criminal consequences. The nature and severity of these consequences will depend on the specific breach and the provisions of the Act. While the legislation itself does not specify maximum penalties, breaches of the Act could result in disciplinary actions, including the possibility of removal from office, as well as potential legal action under relevant sections of the Act. The precise penalties would be determined by the relevant authorities in accordance with the law.
