Overview

The ASIC Corporations (Amendment and Repeal) Instrument 2015/843 was enacted in 2015 to address gaps and inconsistencies in the regulatory framework for corporations in Australia, particularly in relation to financial reporting and disclosure requirements. This legislative instrument is an amendment to the Corporations Act 2001, made under the authority of the Australian Securities and Investments Commission (ASIC) and the relevant provisions of the Corporations Act. The instrument aims to streamline and modernise the regulatory environment for corporate governance and reporting, ensuring that it reflects current practices and international standards. It does so by amending and repealing certain ASIC class orders, which were previously used to provide detailed guidance and regulatory requirements for specific areas of corporate activity. The policy objective is to enhance the effectiveness of corporate regulation and improve transparency in financial markets. This instrument was designed to respond to the need for a more efficient and coherent regulatory framework, reducing the complexity and potential for overlap in the existing suite of class orders. By consolidating and updating these orders, the instrument seeks to provide clearer and more accessible guidance for corporations and their stakeholders, facilitating compliance and improving the overall quality of corporate governance and financial reporting in Australia. The transitional provisions included in the instrument ensure a smooth implementation process, allowing existing obligations to be met during the period of change.

Scope and Application

The ASIC Corporations (Amendment and Repeal) Instrument 2015/843 amends and repeals certain ASIC class orders as specified in its schedules, made under the authority of the Corporations Act 2001. This instrument applies to specified ASIC class orders, which in turn apply to entities and individuals involved in corporate activities within Australia. Its jurisdictional reach is nationwide as it is a Commonwealth instrument. The amendments and repeals are designed to refine and streamline regulatory requirements, particularly concerning reporting obligations for companies and financial products. The instrument does not explicitly mention exclusions or thresholds but implies certain class orders are excluded from its scope. The application and effects of this instrument can be further extended or modified through subordinate instruments. The transitional provisions allow for a 12-month period post-commencement for certain amended class orders to apply.

Key Provisions

The ASIC Corporations (Amendment and Repeal) Instrument 2015/843 amends and repeals various existing instruments under the Corporations Act 2001. Specifically, the instrument amends ASIC Class Orders [CO 01/1455], [CO 04/672], and [CO 07/571] by excluding certain instruments from their scope, while it repeals ASIC Class Orders [CO 06/441], [CO 05/644], [CO 05/642], [CO 05/639], and [CO 05/638] in their entirety (Schedules 1 and 2). The instrument also provides for a transitional period of 12 months from its commencement, during which certain references in the amended Class Orders include references to the repealed Class Orders (Schedule 3). The instrument imposes obligations on those governed by the amended and repealed Class Orders, requiring them to adhere to the changes and exclusions made by the instrument. These obligations include ensuring compliance with the modified scope of the Class Orders and the cessation of compliance with the repealed Class Orders. The specific requirements will depend on the nature of the governed entities, such as companies, directors, or other corporate participants, and their specific circumstances. The instrument does not explicitly state penalties or consequences for non-compliance with its provisions. However, non-compliance with the Corporations Act 2001 or related regulations generally may result in civil or criminal penalties, depending on the severity of the breach. Civil penalties can include fines and pecuniary penalties, while criminal penalties may include imprisonment. The exact penalties depend on the specific provisions breached and the discretion of the courts in imposing sentences.
