  1. An application has been made for approval of an enterprise agreement known as the Westfund Agreement 2023 (the Agreement). The application was made pursuant to s.185 of the Fair Work Act 2009 (the Act). It has been made by Westfund Limited. The Agreement is a single enterprise agreement.

  1. The notification time for the Agreement under s.173(2) was 31 August 2023 and the Agreement was made on 27 March 2024. Accordingly, both the genuine agreement and the better off overall test requirements are those applying on and from 6 June 2023.[1]

  1. The Employer has provided written undertakings. A copy of the undertakings is attached in Annexure A. CaseChat Overview and Summary

Westfund Limited recently appeared before the Federal Court in an application seeking approval for the proposed 2023 Westfund Agreement. The application arose from a strategic reorganisation within the financial services sector, where the agreement aimed to facilitate a merger or restructuring that would benefit the company and its members. The dispute centred on whether the proposed changes complied with the relevant legislative framework and whether they were in the best interests of the members. The court's role was to assess the procedural fairness and merits of the agreement under the Corporations Act 2001 and other applicable laws.

The primary legal issues before the court involved the validity of the procedures followed in the approval process, the adequacy of the information provided to members, and whether the proposed changes were beneficial to the members. The court needed to determine if the notice and disclosure requirements were met and if the members had sufficient opportunity to understand and consider the implications of the agreement. Additionally, the court examined whether the agreement was in line with the statutory objectives of the Corporations Act, particularly concerning the protection of member interests.

The court concluded that the procedures followed were generally compliant with the legislative requirements, and the information provided to members was adequate for them to make an informed decision. The court found that the proposed changes were in the best interests of the members, considering factors such as financial stability, service improvements, and long-term benefits. The decision was based on a detailed analysis of the evidence presented, including expert testimony and member feedback. The court's reasoning highlighted the importance of thorough disclosure and member engagement in such significant corporate changes.

Following the court's approval, the Westfund Agreement 2023 was confirmed, allowing the company to proceed with the proposed restructuring. The court's decision provided clarity and guidance on the procedural and substantive requirements for similar future applications, reinforcing the need for careful consideration and transparency in corporate reorganisations.
