The Court concluded that section 556 did not operate to grant the ATO priority over shareholders in respect of surplus assets after all other debts and liabilities had been satisfied.

The Court made orders directing the liquidator to distribute the surplus assets of Eltham Woodwind (Importing) Pty Ltd to the company's shareholders.
