Ranclose Investments Pty Ltd v Leda Management Services Pty Ltd

Ranclose Investments Pty Ltd (the appellant) appealed to the Court of Appeal of the Supreme Court of New South Wales against an order of the District Court dismissing its proceedings against Leda Management Services Pty Ltd (the second defendant). The dispute arose from an application by the first defendant for security for costs. The second defendant was joined to the proceedings after the security for costs order was made in favour of the first defendant, but no separate security for costs order was made in favour of the second defendant, nor was security provided.

The central legal issue before the Court of Appeal was the construction of rule 42.21 of the Uniform Civil Procedure Rules 2005 (NSW), specifically whether the power to dismiss proceedings under that rule extended to the second defendant, given that no security for costs order had been made in its favour.

The Court of Appeal reasoned that rule 42.21 permits the dismissal of proceedings for failure to comply with a security for costs order. However, it found that the rule's operation is predicated on the existence of such an order. As no security for costs order had been made in favour of the second defendant, the basis for dismissing the proceedings against it under rule 42.21 was absent. Consequently, the District Court had erred in dismissing the proceedings against the second defendant.

The Court of Appeal allowed the appeal, varying the District Court's orders to specify that the dismissal was only as against the second defendant and to clarify the costs order in favour of the second defendant. No order was made as to the costs of the appeal, but the respondents were ordered to pay the appellants’ costs of the notice of contention.
