Peninsula Balmain Pty. Limited (the appellant) and Abigroup Contractors Pty. Limited (the respondent) were parties to a building contract. The dispute concerned the interpretation of the contract's provisions regarding payment for work performed. Specifically, the disagreement centred on whether the terms of the General Conditions of the contract, which stipulated payment at "reasonable rates and prices," displaced the specific rates and prices quantified in the appellant's tender. The primary legal issue before the Court of Appeal was to determine the proper construction of the contract, particularly the interplay between the General Conditions and the tender documents. The Court of Appeal held that the General Conditions, by providing for payment at "reasonable rates and prices," did not displace the quantified rates and prices set out in the tender. The court reasoned that the tender, having been incorporated into the contract, represented the agreed basis for payment. The provision for reasonable rates and prices was interpreted as a mechanism to address situations where specific rates were not quantified or where variations occurred, rather than a general override of the agreed tender prices. The court therefore found that the appellant was entitled to payment based on the rates and prices specified in its tender.

The Court of Appeal ordered that Order 3(b) made on 3 July 2002 be deleted.
