Merribee Pastoral Industries & Ors v ANZ Banking Group

Merribee Pastoral Industries Pty Ltd and others (the appellants) brought proceedings against ANZ Banking Group Ltd (the respondent) concerning the respondent's alleged breach of contract and misleading and deceptive conduct in relation to a loan facility. The dispute centred on the respondent's actions in relation to the loan, including allegations of improper conduct in its management and the eventual enforcement of security. The matter came before the court for determination of certain preliminary issues.

The primary legal issue before the court was whether the appellants' claims were barred by the relevant limitation periods. Specifically, the court had to consider whether the causes of action pleaded by the appellants accrued at a time that would render them statute-barred under the applicable legislation, and if so, whether any exceptions or extensions to the limitation periods applied. This involved an analysis of when the appellants discovered, or ought to have discovered, the alleged breaches and misleading conduct.

Kirby J, in chambers, considered the application of the Limitation Act 1969 (NSW). His Honour found that the appellants' claims for breach of contract and misleading and deceptive conduct, as pleaded, were indeed statute-barred. The court determined that the accrual of the causes of action occurred at a point in time when the appellants had sufficient knowledge of the facts constituting their claims, and that this point preceded the commencement of proceedings by a period exceeding the statutory limitation period. No basis was found to extend the limitation period under the relevant provisions.

The court therefore dismissed the appellants' claims as being out of time.
